Monolithic Power Systems, Inc. — FY2014 Form 10-K
Business context and reporting period. The filing covers the fiscal year ended December 31, 2014; quarterly figures below compare the fourth quarter with the same quarter of 2013. MPS designs high-performance analog and mixed-signal power semiconductors and uses a fabless manufacturing model. Its DC-to-DC products generated 89.6% of FY2014 revenue. Approximately 91% of revenue came from customers in Asia. MPS acquired Swiss magnetic-sensor developer Sensima in July 2014.

| Working capital | $271.3 million | $253.6 million |
Revenue increased 18.7% year over year. Unit shipments rose 37%, partly offset by a 13% decline in average selling prices. Gross margin improved 0.3 percentage points, primarily on better absorption of in-house testing overhead. Research and development expense rose 17.8% to $58.6 million; selling, general and administrative expense rose 22.2% to $66.8 million. Stock-based compensation increased to $33.5 million from $20.7 million.
The $8.0 million net litigation benefit in operating expenses included recognition of a $9.5 million O2 Micro award, partly offset by additional legal fees and other litigation costs. The award materially contributed to reported earnings; it is not recurring product revenue.
In Q4 2014, revenue was $75.7 million versus $63.6 million in Q4 2013; net income was $8.9 million versus $7.5 million. Q4 2014 diluted EPS was $0.22 versus $0.19.
Liquidity, debt and capital allocation
- Cash and cash equivalents were $126.3 million; short-term investments were $112.5 million. A further $5.4 million of long-term investments consisted of illiquid auction-rate securities.
- Current assets were $308.1 million and current liabilities $36.9 million. The balance sheet lists no borrowings; it does include tax and other long-term liabilities.
- Operating cash flow of $74.1 million funded, among other items, $9.5 million of property and equipment purchases. Investing cash outflow was $9.4 million, including $11.6 million net cash paid for Sensima. Financing cash outflow was $39.2 million, including $41.2 million of share repurchases and $11.7 million of dividends and dividend equivalents.
- MPS declared quarterly dividends of $0.15 per share in Q2, Q3 and Q4 2014. The $100 million repurchase authorization runs through June 30, 2015; $38.2 million remained available at year-end.
- Management said existing cash, short-term investments and operating cash generation should meet liquidity needs for the next 12 months. $56.4 million of cash and $35.8 million of short-term investments were held by international subsidiaries; repatriation could trigger U.S. tax.
Outlook, risks and unusual items
- No specific revenue or earnings guidance is provided. Management plans new products and expansion into additional markets, and says growth depends on design wins, market-share gains, customer diversification and securing manufacturing capacity.
- Sensima consideration included $11.7 million paid at closing and contingent consideration initially valued at $2.5 million, with up to $8.9 million payable if specified product, revenue and margin targets are met. Acquisition-related goodwill was $6.6 million; management reported no goodwill impairment in 2014.
- Key exposures include semiconductor cyclicality, declining average selling prices, supply and foundry capacity constraints, inventory forecasting, customer and distributor concentration, and geographic concentration. The largest distributor represented 26% of revenue and 31% of accounts receivable in 2014.
- The IRS audit of 2005–2007 returns remained unresolved. The filing states the maximum potential federal tax payment under the IRS’s revised proposal would be $10.5 million, plus interest and penalties, if the IRS prevailed on all disputed matters. Management believed resolution was more likely than not not to have a material impact.
- All $5.6 million face value of auction-rate securities had failed to reset; the filing says timing of restored liquidity is uncertain. The carrying fair value was $5.4 million.
- Management reported no material pending legal proceedings at December 31, 2014. The auditors gave unqualified opinions on the financial statements and internal controls; management also concluded controls were effective. Sensima’s controls were still being evaluated.
Important facts for investors to verify
- Whether shipment growth and new design wins can offset continued average-selling-price declines, and how product and customer mix affect margins.
- Distributor concentration, end-customer demand visibility, and the risk of cancellations, channel inventory or customer receivable issues.
- Foundry and subcontractor capacity, wafer costs, yields and inventory levels, including strategic wafer and die-bank holdings.
- The sustainability of earnings excluding the O2 Micro litigation benefit, alongside rising stock-based compensation and operating expenses.
- Sensima integration, product milestones and the potential contingent payment; also the final purchase-price allocation and tax treatment.
- Resolution of the IRS audit, recoverability and liquidity of auction-rate securities, and the availability of overseas cash for U.S. uses.
- The board’s continued dividend and repurchase decisions; both remain discretionary or subject to program terms.
