Revenue fell 67.3%. Nucleic Acid Production revenue declined 72.4% to $224.8 million; Biologics Safety Testing fell 8.2% to $64.2 million. Gross margin contracted with lower volume, a less favorable product mix, and higher labor, facility, depreciation and amortization costs relative to sales. Adjusted EBITDA margin was about 22.6%, versus 72.2% in FY2022.
Cash and equivalents were $575.0 million at year-end, down from $632.1 million. Term-loan principal was $533.1 million (carrying debt, net of issuance costs, was $524.1 million); no revolver borrowings were outstanding. The term loan bore 8.40% interest and matures in October 2027. The company reported compliance with debt covenants and a first-lien net leverage ratio below 4.25:1.00.
Material changes and unusual items
- COVID-19-related products and services accounted for an estimated 21.0% of FY2023 revenue, versus 67.9% in FY2022. CleanCap revenue was $111.1 million, of which an estimated $60.8 million was COVID-related; the comparable FY2022 amounts were $660.5 million and $599.8 million.
- The FY2023 consolidated net loss reflected a $756.1 million income-tax expense, including $754.9 million of deferred tax expense, following a full valuation allowance on deferred tax assets. Maravai also recorded a $668.9 million gain from reducing the non-current Tax Receivable Agreement (TRA) liability to zero because future tax-benefit realization was no longer considered probable. These large non-cash tax and TRA items materially affect reported earnings and should not be treated as ordinary operating results.
- Operating cash flow benefited from working-capital changes and substantial non-cash adjustments; it fell from $536.0 million to $126.2 million. Capital investment remained elevated as the company expanded facilities.
- Maravai acquired Alphazyme in January 2023 for $75.3 million of total consideration, including contingent consideration. Its first revenue-target performance payment was not earned. Additional performance payments of up to $75.0 million and employee retention payments are possible, subject to stated conditions.
Outlook, management commentary and risks
Management expects further declines in COVID-19-related revenue and said customer inventories make the timing of renewed orders difficult to predict. It also warned that weaker biotech funding, customer budget restraint, macroeconomic conditions and softness in Asia, particularly China, could slow growth or further reduce revenue in 2024. The filing provides no specific revenue or earnings guidance. FY2024 capital expenditures were projected at $30–$35 million, net of anticipated government funding.
A November 2023 cost realignment included a workforce reduction of about 15% (102 positions), lease terminations and other expense reductions. It incurred $6.5 million of restructuring costs in 2023; management expects approximately $30 million of annual savings, including $23 million in labor costs. The workforce reduction was completed January 5, 2024. Management expected remaining plan actions to be substantially complete in Q1 2024.
Key risks include demand volatility and dependence on COVID-19-related products; customer and supplier concentration; product quality and performance; evolving regulation; execution and utilization of recently expanded manufacturing capacity; variable-rate debt; and potential future TRA payments. The largest customer represented 19.3% of FY2023 revenue. GTCR-affiliated entities controlled approximately 56% of voting power at year-end. The company reported no legal proceedings expected to have a material adverse effect. The financial-statement and internal-control audits received unqualified opinions; management and the auditor found internal control over financial reporting effective at December 31, 2023.
Investor verification points
- Assess the pace of post-pandemic revenue normalization, especially CleanCap demand, customer inventories and the proportion of sales tied to COVID-19 programs.
- Reconcile reported net loss, the $756.1 million tax expense, the $668.9 million TRA gain and the $642.2 million deferred-tax valuation allowance; evaluate possible future reversals and cash consequences.
- Track segment revenue and profitability, gross-margin recovery, operating cash flow, working capital and spending needed to use the expanded facilities.
- Review debt service and covenant headroom alongside potential Alphazyme contingent and retention payments, lease commitments and future TRA obligations.
- Monitor whether the restructuring achieves expected annual savings without disrupting operations, quality, customer service or retention of key personnel.
