| Net revenue | $693.3 million | $1,120.3 million | Down 38% |
| Gross profit | $385.7 million | $649.8 million | Down 41% |

| Diluted EPS | $(0.91) | $1.55 | Declined |
| Operating cash flow | $43.4 million | $388.7 million | Down 89% |
Revenue declines were driven primarily by weaker customer demand, excess channel inventory following the 2021–2022 supply shortage, and lower broadband and connectivity shipments. Infrastructure revenue increased 30% to $177.1 million, partially offsetting declines in broadband revenue, which fell 59% to $203.5 million, and connectivity revenue, which fell 55% to $138.2 million.
- Industrial and multi-market revenue: $174.4 million, down 7%.
- Operating expenses: $423.9 million, or 61% of revenue, compared with 42% in 2022. R&D was $269.5 million and SG&A was $132.2 million.
- Restructuring: $19.8 million of charges, primarily workforce severance, compared with $2.3 million in 2022.
- Other expense: Net interest and other expense was $25.6 million, including an $18.3 million ticking fee paid after termination of the Silicon Motion financing commitments.
- Cash and liquidity: Cash and cash equivalents were $187.3 million, restricted cash was $1.1 million, net receivables were $170.6 million, and working capital was $265.9 million.
- Debt: $125.0 million of principal was outstanding under a senior secured term loan, with a net carrying value of $122.4 million and maturity in June 2028. The $100.0 million revolving facility was undrawn. The effective average interest rate was approximately 7.6%.
- Contractual obligations: Total disclosed debt, lease, purchase and other obligations were $287.6 million, excluding uncertain tax positions.
Material changes versus the prior comparable period
- Revenue declined by $427.0 million, with the largest reductions in broadband and connectivity.
- Gross margin decreased from 58.0% to 55.6%, primarily due to lower absorption of intangible amortization, partly offset by favorable product mix.
- The company moved from $180.2 million of operating income and $125.0 million of net income to operating and net losses.
- Operating cash flow fell by $345.4 million, reflecting lower profitability and working-capital effects, including $104.2 million of price-protection payments and $11.8 million of severance payments.
- Inventory declined from $160.5 million to $99.9 million as management reduced inventory in response to lower demand and improved supply conditions.
- Workforce reductions were initiated in March and October 2023. Management expects approximately $30 million to $40 million of additional restructuring costs in 2024, with affected employees expected to be informed by the end of the first quarter.
- The company acquired Company Y, an India-based engineering design-services business, for $9.8 million in cash, with potential contingent consideration of up to $2.6 million.
- The share-repurchase program remained suspended and no shares were repurchased in 2023. Approximately $45.0 million remained available under the authorization at year-end.
Outlook, commentary and risks
Management expects revenue to decline further in the first quarter of 2024 because of macroeconomic conditions, customer-demand weakness and elevated channel inventory. Channel inventory is expected to remain elevated in the near term but decline thereafter. Gross margin is expected to fluctuate based on product mix, average selling prices and manufacturing costs.
- Merger litigation: MaxLinear terminated its proposed Silicon Motion merger in July 2023. Silicon Motion commenced confidential arbitration seeking the termination fee, additional damages, fees and costs. A related shareholder class action is also pending. No material litigation loss contingency was accrued because management did not believe an adverse outcome was probable; however, a reasonably possible loss in excess of recorded amounts could not be estimated.
- Other litigation: MaxLinear filed trade-secret claims against Comcast. Dish and Cox asserted claims relating to patent assignments and alleged obligations under MoCA and CableLabs licensing arrangements. Claimed damages are unspecified.
- Export controls and geopolitics: The company has restricted or curtailed certain China-related transactions due to U.S. export controls. Additional restrictions, licensing delays or supply-chain disruption involving China, Taiwan or other Asian manufacturing locations could reduce revenue or impair production.
- Customer and geographic concentration: The ten largest customers represented 54% of 2023 revenue; one customer represented 10%. Products shipped to Asia represented 75% of revenue, including 37% shipped to Hong Kong and 11% to mainland China.
- Supply chain: Manufacturing, assembly and testing are outsourced and concentrated largely in Asia. The company generally lacks long-term supply contracts with key foundries and suppliers, creating capacity, pricing, geopolitical and disaster risks.
- Tax matters: The company maintained a $74.3 million valuation allowance against deferred tax assets and reported $68.6 million of unrecognized tax benefits. Singapore tax incentives are generally effective through March 2027, subject to conditions.
- Cybersecurity: The last known cybersecurity breach occurred in 2020. The company reported no material cybersecurity breach or related penalties in 2021–2023, but identifies ongoing risks from ransomware, supply-chain attacks and product vulnerabilities.
Investor verification checklist
- Verify the trajectory of first-quarter 2024 revenue, channel inventory and broadband demand.
- Assess whether the workforce reductions deliver expected savings without impairing product development, customer support or design wins.
- Monitor gross-margin recovery, average selling prices, product mix and potential inventory write-downs.
- Track Silicon Motion arbitration and shareholder litigation exposure, including any settlement or damages outcome.
- Review debt-service capacity under variable interest rates and the June 2028 term-loan maturity.
- Evaluate customer concentration, distributor price-protection obligations and accounts-receivable concentrations.
- Assess the effect of U.S.-China export restrictions and the resilience of the Taiwan- and Asia-centered supply chain.
- Confirm the realizability of deferred tax assets, the status of unrecognized tax benefits and continued qualification for Singapore tax incentives.
- Review the audited financial statements and the auditor’s critical audit matter concerning deferred-tax-asset realizability.
