- Revenue increased 10% year over year despite FY2022 having one fewer week. Product revenue rose 10%; services revenue rose 10%.
- Public Cloud revenue was $396 million, up 99%, including contributions from Spot and CloudCheckr acquisitions. Hybrid Cloud revenue was $5.922 billion.
- Operating cash flow declined 8%, mainly from the timing of receivable billings and collections and employee compensation payments. Capital expenditures were $226 million.
- Net working capital was $2.0 billion. The $250 million note due in December 2022 was classified as current debt. No commercial paper was outstanding and the $1.0 billion revolving credit facility was undrawn.
- FY2022 dividends totaled $446 million ($2.00 per share); share repurchases totaled $600 million. Deferred revenue and financed unearned services revenue rose 6% to $4.232 billion.
Material changes and unusual items
- Revenue growth reflected gains in both product and services sales; Public Cloud was the fastest-growing component. All-flash array sales helped support product margins.
- Higher component and freight costs from supply-chain constraints raised product costs and delayed some customer orders, especially in Q4. Management said these cost pressures were expected to continue into FY2023.
- FY2022’s 14% effective tax rate, versus 24% in FY2021, benefited from one-time items related primarily to prepayment of certain intercompany expenses. Management flagged a potential FY2023 tax-rate impact if required amortization of research and development costs under the TCJA is not deferred or changed.
- FY2021 included a $156 million gain on the sale of Sunnyvale property, which did not recur. FY2022 included $33 million of restructuring charges and $13 million of acquisition-related expense.
- FY2022 acquisitions included CloudCheckr for approximately $347 million, Fylamynt for approximately $27 million and Data Mechanics for approximately $15 million. After year-end, NetApp acquired Instaclustr for approximately $500 million.
Outlook, risks and contingencies
- Management expected liquidity sources to cover operating and other cash needs for at least 12 months and forecast FY2023 capital expenditures of $250–$300 million. The filing gives no specific revenue or earnings guidance.
- Key risks include component shortages and cost inflation, demand and order-timing variability, intense competition and technology transitions, reliance on channel partners and major distributors, and execution of cloud and consumption-based offerings. Arrow Electronics and Tech Data represented 24% and 21% of FY2022 revenue, respectively.
- Other material risk areas include cybersecurity and product quality, international and foreign-exchange exposure, COVID-19 effects, Russia-related sanctions and export controls, privacy regulation, and the ability to recruit and retain employees.
- A securities class-action settlement for approximately $2 million had preliminary court approval, with final approval pending. NetApp also disclosed ongoing patent litigation; management recorded no material accrual for the other legal matters discussed.
- The independent auditor issued unqualified opinions on the financial statements and internal controls. Revenue recognition for certain large enterprise and distributor contracts was identified as a critical audit matter.
Investor verification priorities
- Check subsequent results for continued Public Cloud growth and the contribution, integration costs and returns from acquisitions.
- Track whether supply constraints, freight and component costs, and delayed orders affect revenue conversion and gross margins.
- Assess cash conversion, receivables, inventory growth and the funding of dividends, repurchases, acquisitions and capital spending.
- Review refinancing or repayment of the $250 million December 2022 note and the company’s remaining debt maturities.
- Monitor the FY2023 tax treatment of research and development costs, tax audits and the Danish withholding-tax appeal.
