Revenue increased 1% year over year. FY 2022 revenue included $32 million from successful appeals of previously denied Medicare fee-for-service claims; management said collections from the most accessible such claims were largely exhausted and remaining collections may take time. Revenue by geography included $406.9 million from the U.S. (up from $353.1 million), $46.1 million from Germany (down from $93.9 million), $32.8 million from Japan, and $21.3 million from Greater China.

Fourth-quarter 2022 revenue was $128.4 million, versus $133.2 million in Q4 2021. Q4 2022 operating loss was $43.0 million and net loss was $37.3 million, compared with losses of $23.4 million and $26.5 million, respectively, in Q4 2021.

At year-end, current assets were $1.11 billion and current liabilities were $158.8 million. Trade receivables were $86.3 million. The company reported an accumulated deficit of $778.5 million. FY 2022 investing cash outflow was $140.0 million, mainly reflecting net purchases of short-term investments and $21.4 million in property and equipment. Financing cash inflow was $15.5 million, primarily from option exercises and employee share purchases.

Material changes versus the prior comparable period

  • Operating expenses rose 10% to $512.5 million, led by sales and marketing expense, up 27% to $173.7 million. Research, development and clinical study expense increased 2% to $206.1 million.
  • Operating loss more than doubled, and net loss widened by $34.2 million. Adjusted EBITDA fell 54%, primarily due to increased sales and marketing investment.
  • Operating cash flow fell $52.0 million to $30.8 million, principally reflecting higher commercial and administrative spending and research and development costs.
  • Active patients declined by 157 to 3,430; prescriptions received declined to 5,529 from 5,662. Germany’s active-patient count fell to 467 from 563, while Japan’s increased to 369 from 307.
  • Reported revenue was nearly flat; U.S. claim-appeal collections supported results while German approval rates and foreign exchange weighed on revenue.

Outlook, commentary, risks and unusual items

  • Management said year-end cash and short-term investments were sufficient to fund operations for at least 12 months under its existing plan. It expects research and development, sales and marketing, and general and administrative expenses to continue increasing and may need additional capital if spending outpaces gross profit.
  • Management expects research and development investment to grow into 2023 and anticipates continued significant commercial spending. The filing gives no numerical revenue or earnings guidance.
  • In January 2023, after year-end, Novocure announced that the pivotal LUNAR study in stage 4 non-small cell lung cancer met its primary endpoint, with statistically significant and clinically meaningful overall-survival improvement for TTFields plus standard therapies versus standard therapies alone. The company anticipated presenting full results in 2023. This is a top-line company announcement; full data were not included in the filing.
  • Other pivotal programs include studies in ovarian cancer, brain metastases, pancreatic cancer, and newly diagnosed GBM. The company reported that final enrollment in PANOVA-3 occurred in February 2023, with final data anticipated in 2024; it anticipated METIS enrollment completion in Q1 2023 and INNOVATE-3 final data in 2023.
  • On February 22, 2023, the company terminated its $150 million revolving credit facility, which had no borrowings outstanding. The $575 million 0% convertible senior notes remain due in 2025; their initial conversion price was approximately $168.24 per share. Conversion or repayment terms may affect future liquidity and shareholder dilution.
  • Principal risks include dependence on two marketed products and a limited number of approved indications; reimbursement and Medicare claim-appeal uncertainty; clinical, regulatory and market-acceptance risks; competition and patent expirations; reliance on third-party and some single-source suppliers; foreign-exchange exposure; cybersecurity and privacy risks; and regulatory requirements, including EU medical-device rules. The company stated COVID-19 did not materially affect FY 2022 financial results, though it continued to disrupt some operations and clinical-study monitoring.
  • Legal proceedings arise in the ordinary course; management said their ultimate disposition was not expected to materially affect consolidated financial position or results. The auditor issued an unqualified opinion on the financial statements and internal controls. Revenue recognition, particularly estimates of variable consideration and implicit price concessions, was identified as a critical audit matter.

Important facts for investors to verify

  • How much future revenue and cash generation depends on core patient growth and realized monthly pricing after the unusually large $32 million Medicare appeal collection in 2022.
  • Whether the German reimbursement approval-rate decline and falling active-patient count stabilize, and whether U.S. patient growth offsets weakness elsewhere.
  • Full LUNAR study results, including absolute survival outcomes, subgroup results, safety, and regulatory implications; also monitor pivotal-trial outcomes and timelines.
  • Whether elevated commercial and clinical investment can translate into sustainable profitability, given the widening 2022 loss and lower operating cash flow.
  • Convertible-note settlement, potential dilution, and liquidity needs as the 2025 maturity approaches; confirm the revolving facility termination and absence of borrowings.
  • Reimbursement coverage and collection risks, including remaining Medicare appeals, Optune Lua access, and the assumptions used to estimate revenue concessions and receivables.
