Nova is an Israel-based supplier of metrology and process-control systems and services for semiconductor manufacturing. Figures below are in U.S. dollars unless stated otherwise.

| Cash from operations | $119.5 million | $132.3 million | Down $12.7 million |
Product gross margin fell to 59% from 61%, mainly due to product mix, higher supply-chain costs and the acquired chemical-metrology business. Service gross margin improved to 41% from 38%. Net financial income was $8.5 million, compared with a $3.1 million expense in 2021, reflecting higher interest income, lower convertible-note expense and foreign-exchange gains. The effective tax rate was 11%, versus 15%.
At year-end, cash, cash equivalents, bank deposits and marketable securities totaled $529.0 million, down from $552.9 million. Marketable securities had a fair value of $320.5 million. The company reported approximately $105 million of non-cash working capital; its overview separately cites working capital of approximately $111 million. Operating cash flow was positive, but lower year over year as growth required more working capital. Inventory rose to $116.6 million from $78.7 million, and receivables rose to $109.3 million from $68.4 million.
Nova had $200 million principal amount of 0% convertible senior notes due October 2025, with a $196.4 million net carrying amount at year-end. The notes were classified as non-current. Management described net cash reserves after long-term debt of approximately $333 million. The company spent $21.4 million repurchasing shares under a $100 million program and expects no cash dividends for the foreseeable future.
Business developments and changes versus 2021
- Revenue grew 37%, following 54% growth in 2021. Product sales made up 81% of 2022 revenue and services 19%.
- Nova acquired German chemical-metrology provider ancosys in January 2022. Consideration was approximately $90.2 million at acquisition-date fair value, including contingent consideration; the filing also describes the transaction as approximately $92 million including earn-out. The acquisition added chemical metrology, contributed to revenue growth and increased goodwill and acquired intangible assets.
- Operating expenses increased to $167.0 million from $123.1 million, including higher R&D spending, personnel costs and acquisition-related effects. R&D was $90.5 million, or 16% of revenue.
- Five largest customers generated 57% of revenue, down from 70% in 2021. Taiwan and China accounted for 32% and 28% of sales, respectively; the U.S. accounted for 16% and Korea 13%.
- Capital expenditures increased substantially in 2022. The company invested in new facilities and cleanrooms in Israel and the U.S.; planned facilities in Germany and a new ERP system are also part of its investment program.
Outlook, risks and contingencies
Nova’s stated strategy is to grow toward $1 billion in revenue, organically and through acquisitions; this is a strategic target, not a specific near-term revenue forecast. Management plans to expand its dimensional, materials and chemical metrology offerings, integrate ancosys, invest in R&D and production capacity, and develop software and machine-learning solutions. It expects 2023 capital spending of approximately $35 million. Management believes existing cash reserves can fund planned activities for at least 12 months.
The filing cites an expected 2023 semiconductor downturn: Gartner forecasts semiconductor revenue down 6.5% and wafer-fab-equipment spending down 19% after growth in 2022. Nova identifies customer capital-spending cycles, concentrated customers and products, supply constraints, competition, long sales cycles and forecast-driven inventory as significant business risks. U.S. export restrictions introduced in October 2022 limit the U.S. subsidiary’s ability to serve part of the Chinese market; additional restrictions may indirectly reduce Chinese-sector demand.
- Geopolitical and operating exposures include tensions affecting Taiwan and Asia, Israel’s political and security environment, the Russia-Ukraine war and higher European energy costs.
- Foreign exchange, particularly NIS and euro movements against the U.S. dollar, may affect costs and margins. Nova used currency forwards and options to hedge exposures.
- The filing describes cybersecurity and fraud attempts, including a prior unauthorized bank transfer for which almost all funds were recovered. The company is also replacing its ERP system, with transition and implementation risks.
- Non-cancelable supplier purchase obligations were approximately $152 million for 2023–2025. The filing reports no material legal proceedings requiring accrual.
- Convertible notes may create dilution or require cash settlement or repayment at maturity; a fundamental change may trigger a holder repurchase right. The company also notes potential Israeli withholding-tax costs if anticipated tax clarifications are not obtained.
- Management and the auditor concluded internal control over financial reporting was effective at December 31, 2022, but the assessment and audit excluded ancosys, which represented about 4% of consolidated assets and operating income.
Auditors issued unqualified opinions on the financial statements and internal controls. Critical audit matters included inventory obsolescence estimates and valuation of ancosys acquired technology. A senior leadership transition announced in February 2023 was scheduled to take effect March 31: Gaby Waisman was to become CEO and president, and Eitan Oppenhaim executive chairman.
Important facts for investors to verify
- Whether 2023 semiconductor spending declines as forecast, and how that affects orders, revenue, margins and working capital.
- Progress in integrating ancosys, including the expected contribution and margins of its chemical-metrology products.
- Exposure to export controls and customer concentration in China, Taiwan and a small number of large semiconductor manufacturers.
- Inventory quality and reserve adequacy, given the increase in inventories and the auditor’s critical audit matter.
- Liquidity and capital-allocation plans, including the $152 million supplier commitments, planned capital spending, share repurchases and the 2025 convertible-note maturity.
- ERP implementation, cybersecurity controls and the integration of ancosys into financial reporting controls.
