Gross margin is not applicable because Olema reported no product revenue. The company had no debt outstanding at March 31, 2024. It had $25.0 million available under its loan facility; a further $25.0 million could become available only with bank approval. The facility is secured by substantially all company assets and carries customary covenants and default provisions.
Material changes and financing
- R&D expense rose $7.1 million year over year, primarily reflecting a $5.0 million Aurigene milestone, higher clinical development spending, and increased stock-based compensation. The increase was partly offset by lower clinical pharmacology and nonclinical spending and a $1.8 million restructuring charge in Q1 2023.
- G&A expense fell $2.3 million, mainly due to lower corporate, legal and personnel costs, including the prior-year restructuring charge.
- Net loss increased $2.7 million; higher interest income from investments partly offset higher operating expenses.
- Operating cash use increased $3.1 million year over year. Investing activities used $20.1 million, primarily reflecting purchases of marketable securities net of maturities. Financing activities provided $8.8 million, including $7.9 million net proceeds from ATM share sales and $0.9 million from option exercises.
- Under the $150 million ATM program launched in January 2024, Olema sold 546,326 shares for $7.9 million net proceeds during the quarter; approximately $141.8 million remained available. The share count increased during the quarter.
Outlook, management commentary and risks
- Management said available cash, cash equivalents, marketable securities and amounts available under the loan agreement are expected to fund the current operating plan for at least 12 months from the filing date. The company nevertheless expects significant ongoing losses and states it will need substantial additional funding to achieve its broader development objectives; it cautions that financing may be unavailable or dilutive.
- Olema expects OPERA-01 Phase 3 palazestrant monotherapy top-line results in 2026. It planned to present Phase 2 palazestrant-ribociclib results in May 2024, anticipated a Phase 3 first-line combination trial, and expected to begin an everolimus combination study in Q3 2024. It expected to file an IND for OP-3136 in late 2024.
- In March 2024, Olema and Novartis expanded the palazestrant-ribociclib study by 15 patients to evaluate a 90 mg palazestrant dose with 600 mg ribociclib. The Novartis collaboration provides for reimbursement of a majority of certain direct outside trial costs, subject to agreed terms and thresholds.
- Key risks include clinical-trial efficacy, safety, enrollment and timing; regulatory approval; reliance on third-party manufacturers and CROs; competition; intellectual-property protection; and the need for additional capital. Macroeconomic, geopolitical and supply-chain disruptions could also affect operations and financing.
- The filing notes that accumulated losses and negative operating cash flows raise substantial doubt about the company’s ability to continue as a going concern over the long term, while management’s stated liquidity assessment covers at least the next 12 months from filing. These statements describe different time horizons.
- No material legal proceedings were reported. Disclosure controls and procedures were assessed as effective at a reasonable-assurance level, with no material change in internal control over financial reporting reported for the quarter.
Investor verification points
- Track cash burn and liquidity against the company’s 12-month operating-plan estimate, including the timing of clinical spending and future capital needs.
- Verify trial progress, enrollment, safety and final data—particularly OPERA-01 and the palazestrant-ribociclib combination—against management’s stated timelines.
- Assess dilution from further ATM sales and equity compensation, and confirm the actual availability and terms of the undrawn loan facility.
- Monitor OP-3136’s IND-enabling work and expected late-2024 IND filing, as well as potential milestone obligations under the Aurigene agreement.
