Revenue declined primarily because console revenue fell $9.7 million, partly offset by a $2.3 million increase in consumables revenue and higher service revenue. Gross-margin expansion reflected a more favorable mix of consumables and services, lower consumable unit costs and higher consumable average selling prices, partly offset by lower console pricing.
Operating expenses were $45.1 million, down 10% year over year, reflecting cost-reduction initiatives and lower compensation, consulting, travel and infrastructure costs. These savings were partly offset by approximately $3.0 million of severance and related charges recognized in the first quarter in connection with an additional workforce reduction plan.
At March 31, 2024, cash and cash equivalents were $32.2 million, short-term investments were $194.7 million and restricted cash was $3.3 million. Cash, cash equivalents, restricted cash and short-term investments totaled approximately $230.2 million. Inventories increased to $55.8 million from $49.2 million at December 31, 2023.
Net cash used in investing activities was $59.0 million, primarily reflecting $98.7 million of investment purchases, partly offset by $40.0 million of maturities. Financing activities provided $68.6 million, including $66.5 million of net proceeds from term-loan borrowings and $2.1 million from employee equity purchases and option exercises.
Debt and liquidity
Term-loan principal was $200.0 million at March 31, 2024, with a carrying value of $196.8 million after debt discounts, compared with $133.5 million of principal at December 31, 2023. The term loans bear interest at one-month term SOFR, subject to a 2.75% floor, plus 5.15%; the stated rate was 10.47% at March 31, 2024. Interest-only payments are permitted through November 30, 2026, potentially extendable to May 31, 2027 if specified revenue milestones are met. Outstanding principal is generally due November 1, 2027.
No amounts were outstanding under the $25.0 million initial SLR revolving facility. The credit agreements are secured by substantially all company assets, including intellectual property, and contain financial covenants, borrowing restrictions, events of default and additional default interest of 4.0%. Management believes existing liquidity, expected sales cash flow and debt proceeds are sufficient to meet anticipated needs for at least 12 months from the filing date, although the company expects continued operating losses and negative operating cash flow.
Material changes versus the prior comparable period
- Total revenue decreased 16%, driven by lower console revenue and customer delays in purchasing and installing Tablo systems.
- Consumables and service revenue increased as the installed console base expanded.
- Gross margin improved substantially to 29.2% from 19.2%.
- Operating expenses declined 10% following 2023 cost-reduction actions and workforce restructuring.
- Interest expense more than doubled to $6.0 million, reflecting higher interest rates and increased term-loan borrowings.
- Operating cash use increased modestly, while investing cash use increased substantially because the company shifted funds into short-term investments.
- Shares outstanding increased to approximately 51.7 million at May 3, 2024, from 50.3 million at December 31, 2023, primarily reflecting employee equity issuances.
Guidance, outlook, risks and unusual items
The filing does not provide a specific quantitative revenue, margin or earnings forecast. Management expects significant expenses and operating losses to continue while it invests in growth, including acute-care expansion and development of the home-dialysis market.
Customer purchasing and installation decisions have been delayed by higher interest rates, tighter hospital capital budgets, staffing shortages, elevated labor costs and other macroeconomic pressures. The company also attributed some first-quarter customer delays to financial and reimbursement disruptions associated with the February 2024 Change Healthcare cyberattack.
In early May 2024, after the quarter ended, the FDA cleared the company’s 510(k) application for TabloCart with Prefiltration, and the company resumed distribution. The company stated that the FDA’s July 2023 warning letter and the prior distribution pause had contributed to customer uncertainty, longer sales cycles and adverse effects on bookings and revenue. The company cannot assure that the FDA will be fully satisfied with its remediation or that further regulatory action will not occur.
The company is replacing remaining silicone segments in new and existing Tablo consoles with PCB-free tubing. In April 2024, the FDA designated this field correction as a Class 1 recall. The filing states that the recall does not currently require removal of Tablo from the marketplace, but it could damage the company’s reputation and financial results.
Other important risks include continued FDA and quality-system oversight, potential product recalls or restrictions, supply-chain constraints, dependence on key personnel, customer financial pressures, covenant compliance and the need for additional capital if operating plans require funding beyond available liquidity.
The company reported no pending legal proceedings expected to have a material adverse effect. Internal controls over financial reporting and disclosure controls were assessed as effective at a reasonable assurance level.
Most important facts for investors to verify
- Whether console bookings, installations and revenue recover following FDA clearance and resumed distribution of TabloCart with Prefiltration.
- The scope, cost and customer impact of the Class 1 recall involving PCB-free tubing replacements.
- Compliance with SLR credit-facility financial covenants and the company’s ability to service approximately $200 million of term-loan principal.
- Operating cash burn, inventory growth and the duration of the company’s approximately $230.2 million liquidity balance.
- Whether gross-margin improvement is sustainable as console pricing, consumables mix and service costs change.
- Progress in the acute-care and home-dialysis markets, including customer adoption, utilization and fleet expansion.
- Potential dilution from equity issuances, employee awards and approximately 6.6 million anti-dilutive potentially issuable shares disclosed for the quarter.
