- Interest income grew 23.6% to $237.6 million, primarily as average daily principal balance rose 27.2% to $3.1 billion. Portfolio yield declined 92 basis points.
- Interest expense rose 185.1% to $39.0 million; cost of debt increased to 5.5% from 2.6%. Management expects funding costs to rise as lower-rate notes amortize and are replaced.
- A $215.7 million net decrease in fair value sharply reduced net revenue. It included $84.5 million of fair value mark-to-market losses and $91.6 million of net charge-offs; the fair value impact reflects model estimates and market inputs.
- Operating expenses were broadly flat. Sales and marketing fell 44.5% to $19.2 million, while technology and facilities rose 15.6% to $56.9 million and general, administrative and other expense rose 43.4% to $19.2 million, including a $6.8 million workforce-reduction reserve.
- Adjusted EBITDA, a non-GAAP measure, was a loss of $24.5 million versus income of $33.9 million. Adjusted net loss was $88.3 million versus adjusted net income of $52.7 million.
- At March 31, cash and cash equivalents were $74.1 million and restricted cash was $127.8 million, compared with $98.8 million and $105.0 million at December 31, 2022. Total assets were $3.50 billion and stockholders’ equity was $456.1 million.
- Reported debt balances were $403.2 million of secured financing, $2.30 billion of asset-backed notes, and $232.3 million of acquisition and corporate financing. The company reported compliance with debt covenants at quarter-end.
Material changes and business trends
- Aggregate originations declined 49.0% to $408.0 million; loans originated fell to 100,122 from 228,728. Management attributed the decline to tighter underwriting, reduced marketing, and a focus on existing and returning members.
- Members increased to 1.91 million from 1.68 million, and products rose to 2.06 million from 1.76 million. Managed principal balance reached $3.28 billion, up from $2.84 billion.
- Credit performance weakened: the 30+ day delinquency rate increased to 5.5% from 4.5%, and the annualized net charge-off rate increased to 12.1% from 8.6%. Management cited higher losses from earlier vintages, inflation pressure on borrowers, and a higher mix of first-time borrowers.
Outlook, risks and unusual items
- Management expects the annualized net charge-off rate to decline during 2023 as pre-July 2022 loan vintages run off; it said newer vintages were performing near or better than comparable 2019 vintages. These are expectations, not guarantees.
- Workforce and cost reductions announced in February and May 2023 reduce corporate staff by approximately 28% in 2023. Management estimates annualized run-rate savings of $126–$136 million, with approximately $8.0 million of additional pre-tax charges expected in Q2 2023. The May measures were announced after quarter-end.
- The March 2023 corporate financing amendment added higher-cost borrowing capacity. Oportun borrowed $25 million in incremental tranches during Q1 and a further $25 million on May 5, 2023. Up to another $25 million was described as uncommitted and dependent on lender availability. Related warrants at a $0.01 exercise price create potential shareholder dilution.
- Management said existing cash, expected operating cash flows and available borrowing capacity should cover anticipated requirements for at least 12 months. It also cautioned that additional capital may be needed and may not be available on acceptable terms. Liquidity and results remain exposed to credit performance, rising funding costs, capital-market access and fair-value estimate volatility.
- The CFPB concluded its investigation and stated it would not recommend an enforcement action against Oportun. The filing also describes a prior Digit CFPB consent order, including consumer redress and a $2.7 million civil penalty paid in 2022.
- Other notable risks include consumer-finance regulation and litigation, bank-partner and securitization dependence, model and valuation uncertainty, cybersecurity, and economic pressure on borrowers. Management reported effective disclosure controls and no material change in internal control over financial reporting during the quarter.
Important facts for investors to verify
- Whether elevated delinquencies and charge-offs decline as older loan vintages amortize, and whether newer vintages sustain the performance management describes.
- How fair-value assumptions for loan losses, discount rates and asset-backed notes affect reported earnings and whether subsequent results validate those estimates.
- Whether Oportun can maintain liquidity and access funding at manageable cost, particularly given high leverage and the uncommitted additional credit tranche.
- Whether the announced cost reductions deliver the estimated savings without impairing operations, lending, collections or growth.
- The potential dilution and other terms associated with the lender warrants, and any further financing or equity needs.
