IMPINJ INC annual report, FY2023

Impinj, Inc. — FY 2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023. This is an annual filing; it does not provide a standalone Q4 financial summary.

Business context

Impinj develops and sells RAIN RFID products and solutions, including endpoint and reader integrated circuits, readers, gateways, test and measurement systems, and related software and services. It primarily sells through partners. Endpoint ICs generated most revenue; customers use the technology for item identification and visibility across retail, supply chain and logistics, and other industries.

Financial performance and liquidity

MetricFY 2023FY 2022
Revenue$307.5 million$257.8 million
Gross profit / margin$152.0 million / 49.4%$137.9 million / 53.5%
Operating loss$43.5 million$19.5 million
Net loss$43.4 million$24.3 million
Adjusted EBITDA (non-GAAP)$21.8 million$28.9 million
Cash from operating activities$(49.4) million$0.6 million

Revenue rose 19.3% year over year. Endpoint IC revenue increased to $234.4 million from $191.5 million; systems revenue increased to $73.1 million from $66.3 million. Gross margin fell 4.1 percentage points, primarily due to lower endpoint IC margins and product mix. Operating expenses increased, including R&D and G&A, with acquisition-related amortization and costs contributing to the increase.

At year-end, cash, cash equivalents and short-term investments totaled $113.2 million, versus $173.7 million a year earlier; working capital was $238.8 million. Inventory rose to $97.2 million from $46.4 million. Management attributed much of the operating cash outflow to working-capital use, particularly higher inventory and lower accounts payable, and said current liquidity should cover anticipated needs for at least 12 months.

Long-term debt carrying value was $281.9 million. The company has $287.5 million principal amount of 1.125% convertible senior notes due May 2027. Contractual obligations include $298.8 million for the notes, including interest, and $31.0 million in purchase commitments.

Changes, outlook and notable items

  • Compared with 2022, higher shipment volumes lifted revenue, but lower endpoint IC average selling prices and mix contributed to reduced gross margin. Adjusted EBITDA declined despite higher revenue.
  • Impinj acquired Voyantic Oy in April 2023 for aggregate consideration of $32.7 million, adding RFID inlay and label design, manufacturing and test systems. The acquisition included $3.6 million in stock and contingent consideration; it added $15.6 million of goodwill and $18.4 million of identifiable intangibles.
  • The company provided no specific forward financial guidance in the supplied filing text. Management expects continued investment in its platform and warns that adoption, demand, prices and quarterly results are difficult to forecast.
  • On February 7, 2024, Impinj initiated a restructuring affecting approximately 10% of employees and expected $1.7 million to $2.0 million of charges in Q1 and Q2 2024.
  • Patent litigation with NXP remains uncertain. Impinj reported favorable jury findings in multiple cases, but post-trial proceedings and appeals remain; it does not recognize contingent litigation gains until related contingencies are resolved.
  • Significant risks include customer concentration (Avery Dennison and Arizon represented 44% of FY 2023 revenue), reliance on a limited supplier base without long-term wafer supply contracts, uncertain RAIN adoption, inventory forecasting, and geopolitical exposure tied to Asian manufacturing and Taiwan wafer supply.
  • The auditor gave unqualified opinions on the financial statements and internal control over financial reporting. Inventory valuation was identified as a critical audit matter. The company reported no cybersecurity incident determined to be material.

Key facts for investors to verify

  • Whether elevated inventory converts to shipments and cash, and whether operating cash flow improves after the FY 2023 working-capital outflow.
  • Whether gross margins recover as product mix, pricing and costs change; endpoint ICs remain the primary revenue source.
  • Customer concentration and end-market demand trends, especially at Avery Dennison and Arizon and in retail and supply-chain deployments.
  • Wafer and component availability, supplier diversification progress, and exposure to Taiwan-related disruption.
  • Cash generation and refinancing or settlement capacity for the $287.5 million notes due 2027.
  • Execution and financial contribution from Voyantic, including contingent consideration and integration costs.
  • Developments and potential financial consequences of NXP litigation, plus the expected costs and completion of the 2024 workforce restructuring.
