Sales grew 17%, attributed primarily to higher customer demand and improved net pricing across all three segments. SG&A was $162.2 million, or 10.9% of sales, versus $155.9 million, or 12.2%. Restructuring and other special charges were $17.3 million, compared with $20.4 million; net gains on asset sales were $2.4 million, down from $14.7 million. Net interest expense rose to $33.8 million from $27.1 million, reflecting higher rates and borrowings; the average effective borrowing rate was 5.1% versus 4.8%.

Operating cash use reflected a $57.2 million increase in working capital, including higher inventory and receivables. Financing activities provided $84.6 million, including $73.2 million in debt borrowings and $20.0 million from the Aluminum Products-related financing arrangement. Total cash increased $4.1 million during the year.

Segment results and changes

Segment2022 sales2022 operating income (loss)2021 operating income (loss)
Supply Technologies$711.5 million$45.7 million$42.8 million
Assembly Components$388.8 million$1.1 million$(2.6) million
Engineered Products$392.6 million$14.8 million$(12.2) million

Supply Technologies sales rose 15%, but margin declined to 6.4% from 6.9%, primarily due to freight and other supply-chain costs and mix. Assembly Components sales increased 21%, and results improved with higher volume, pricing, and cost initiatives, partly offset by inflation and higher operating costs. Engineered Products sales rose 17%; the segment returned to profitability on higher demand, operational improvements, and cost-reduction initiatives.

Liquidity, debt, outlook, and risks

At year-end, total reported liquidity was $167.9 million: $58.2 million of cash and $109.7 million of unused borrowing availability; the filing also reports $12.4 million of suppressed availability. Revolver borrowings were $285.3 million under a $405 million facility maturing in November 2024. Senior notes total $350 million at 6.625%, due in April 2027. The company reported covenant compliance at year-end and expected to remain compliant through 2023; it cautioned that lower sales or customer payment problems could affect borrowing availability or covenant compliance.

Management said existing resources and anticipated operating cash were expected to cover requirements for at least the next 12 months and the foreseeable future. The filing provides no specific earnings or revenue guidance. It anticipates approximately $2–$3 million of plant-closure and consolidation expenses in 2023. The board declared a $0.125-per-share quarterly dividend in January 2023, paid in February; future dividends remain discretionary.

Key risks include cyclical end markets, including automotive and heavy-duty truck; customer concentration; inflation and the ability to pass through cost increases; supply-chain and labor constraints; interest costs and substantial debt; and international, currency, cybersecurity, environmental, and litigation exposures. Management disclosed a potential FCPA issue involving a third party’s payment on the company’s behalf to a foreign tax official, identified in connection with an SEC subpoena; the filing describes possible legal and regulatory consequences. The Aluminum Products sale is not assured. The auditor issued unqualified opinions on the financial statements and internal controls; the internal-control audit excluded the two 2022 acquisitions, which represented approximately 2% of assets and 1% of revenue.

Important facts for investors to verify

  • Whether the Aluminum Products sale reached a definitive agreement and closed, and the final proceeds, costs, and treatment of the $45 million financing liability.
  • How working capital, particularly inventory, affects operating cash flow and borrowing needs.
  • Debt levels, revolver availability, the November 2024 maturity, interest expense, and covenant headroom under weaker operating conditions.
  • Whether Assembly Components sustains its recovery despite inflation and automotive supply-chain exposure; monitor segment margins across all businesses.
  • The status and potential exposure from the disclosed FCPA matter and asbestos-related claims. The filing gives differing asbestos case counts in separate sections, so the current count should be confirmed.
