Gross margin improved due mainly to end-market mix and favorable dollar/yen exchange rates affecting wafer costs. Operating expenses declined largely because of lower stock-based compensation and product-development expense. The effective tax rate was 0.5%, versus 8.0% a year earlier; management cites geographic earnings mix, research credits, share-based tax benefits and releases of unrecognized tax benefits.

Liquidity, balance sheet and capital allocation

  • Cash, cash equivalents and short-term marketable securities totaled $299.6 million at March 31, down $12.0 million from year-end. Working capital was $452.9 million, down approximately $9.8 million.
  • Cash and cash equivalents were $56.4 million; short-term marketable securities were $243.2 million. Total liabilities were $67.6 million. No borrowings were outstanding under the $75 million revolving credit facility, which runs through June 7, 2026.
  • Financing cash outflow was $23.3 million, including $14.6 million of share repurchases and $11.4 million of dividends, partly offset by $2.7 million from employee stock plans. The company repurchased approximately 207,000 shares; $11.3 million remained under the authorization at quarter-end.
  • Inventory was $167.9 million, up $4.7 million from year-end. Management attributed the increase to lower demand during the quarter.

Material changes, outlook and risks

  • Management attributed lower revenue to macroeconomic and geopolitical pressures, semiconductor-cycle inventory correction, and reduced mobile-phone charger sales. Consumer revenue grew as appliance supply-chain inventories eased, partly offsetting declines in communications.
  • End-market mix shifted: communications fell to 11% of revenue from 28%; consumer rose to 41% from 24%. Industrial was 37% versus 34%, and computer was 11% versus 14%.
  • Revenue remains concentrated: the top ten customers represented 77% of revenue; Avnet accounted for 29%. International sales were 98% of revenue, with Asia accounting for 81%. Distributor sales were 72% of revenue, compared with 63% a year earlier.
  • The filing provides no specific revenue or earnings guidance. Management expects existing cash, operating cash generation and other liquidity sources to meet working-capital and other cash needs for at least 12 months, while noting that weaker demand or pricing pressure could impair cash generation.
  • Key risks include volatile customer orders, demand and pricing, distributor and customer concentration, reliance on third-party wafer suppliers, and exposure to foreign exchange, interest rates and materials costs. The company says market-risk exposures were not materially changed during the quarter.
  • CogniPower litigation resumed after a stay was lifted; trial is scheduled for August 2025. The company cannot estimate a loss or range of loss and intends to defend itself. A separate Waverly matter was dismissed in March 2024 following covenants not to sue. The filing says no material indemnification claims were outstanding.
  • Management reported disclosure controls were effective at quarter-end and no material change in internal control over financial reporting during the quarter.

Investor verification points

  • Track whether demand recovery and the consumer/communications mix stabilize, and whether elevated inventory requires further write-downs.
  • Assess the sustainability of gross margin gains, particularly sensitivity to yen movements, product mix and utilization.
  • Monitor customer and distributor concentration, especially Avnet, and the geographic concentration of sales in Asia.
  • Review capital returns against earnings and cash generation, and confirm the board’s future dividend and repurchase decisions.
  • Follow the CogniPower litigation, including trial developments and any potential financial or operational impact.
