- Capital allocation: PTC spent $224.9 million on share repurchases in FY2014 and authorized up to $600 million of repurchases through September 30, 2017. It announced a long-term goal of returning approximately 40% of free cash flow to shareholders. No cash dividends were paid.
Changes versus the prior comparable period
- Revenue growth accelerated to 5% from 3% in FY2013; organic growth was 3% in FY2014.
- Operating income increased 54%, reflecting cost controls, prior restructuring savings, improved sales productivity and service margins, and lower restructuring charges. Acquired-business costs and IoT investment partly offset these benefits.
- Support remained the largest revenue source and grew 6%; services were flat, while license revenue rose 7%. SLM license revenue declined 22%, while CAD and Extended PLM license revenue increased 13% and 8%, respectively.
- Regional performance varied: Europe revenue increased 10% reported (7% constant currency), while Pacific Rim revenue declined 8%. Japan revenue declined 6% reported but increased 4% on a constant-currency basis.
- Operating cash flow increased by $79.9 million. Debt rose from $258 million at FY2013 year-end to $611.9 million, principally reflecting acquisition funding and share repurchases.
Outlook, commentary, and risks
- FY2015 targets: Revenue growth of 0%–2%; non-GAAP operating margin of 26% (about 16% GAAP); non-GAAP EPS of $2.33–$2.40 (GAAP EPS of $1.33–$1.40). Revenue assumptions included 4%–10% growth in perpetual license and subscription solutions, approximately 1% support growth, and an approximately 6% decline in professional services.
- Management cited weak or uncertain manufacturing conditions, especially in Europe, China, and Japan, and unfavorable euro and yen exchange rates as headwinds. Targets assumed $1.25 per euro and 115 yen per U.S. dollar. Greater-than-assumed subscription adoption could reduce reported revenue, margins, cash flow, and EPS growth because subscription revenue is recognized over time.
- PTC acquired ThingWorx, Axeda, and Atego in FY2014 for approximately $324 million in aggregate net cash outlay. The acquisitions contributed $9.8 million of reported revenue and approximately $12 million in operating losses during the year. Management views IoT and SLM as important growth opportunities.
- A September 2014 workforce restructuring affected 283 employees and generated a $26.8 million charge; expected annualized savings were approximately $30 million, primarily reflected in FY2015 targets.
- PTC was cooperating with the SEC and Department of Justice in an ongoing China investigation concerning payments and expenses involving certain business partners and employees. Potential fines or penalties could not be estimated, no liability was recorded, and terminated employees and partners could affect China sales. China represented 5% of FY2014 revenue.
- The U.S. pension plan termination was expected to be completed by September 30, 2015. Management estimated approximately $65 million of pretax settlement losses and approximately $25 million of additional funding; the losses were excluded from FY2015 targets.
- Other significant risks include foreign-exchange exposure, dependence on manufacturing customers and large transactions, competitive and cybersecurity risks, acquisition integration, tax uncertainties, and variable-rate debt. A 100-basis-point interest-rate change was estimated to affect annual earnings and cash flow by approximately $6.1 million.
Investor verification priorities
- Reconcile GAAP and non-GAAP results, including recurring exclusions such as stock compensation, amortization, restructuring, and acquisition-related costs; assess the effect of FY2014 acquisition-related tax benefits on reported net income.
- Track the China investigation, potential financial or operating consequences, and any subsequent liability recognition or regulatory resolution.
- Verify FY2015 revenue, margin, and EPS performance against management’s targets, including subscription mix, regional demand, and currency assumptions.
- Monitor acquisition integration and the acquired businesses’ contribution to revenue, operating results, and goodwill; goodwill reached $1.013 billion.
- Review debt repayment, covenant headroom, repurchases, cash availability, and pension termination funding and settlement costs.
