Quarterly revenue growth reflected stronger mobile demand supporting customers in China and a Korea-based customer, partly offset by lower demand from Qorvo’s largest end customer and weaker base-station sales. MP revenue rose 9.9% to $662.1 million; IDP revenue fell 10.0% to $207.0 million. IDP operating income declined 59.6% to $32.6 million, while MP operating income increased 21.8% to $219.8 million.
Gross-margin improvement reflected lower intangible amortization and favorable product mix; pricing erosion and lower factory utilization were offsets. Lower SG&A, primarily from reduced intangible amortization, also supported operating-income growth. Net income included a $43.0 million gain from remeasuring Qorvo’s prior Cavendish investment. The prior-year nine-month comparison included an $84.0 million debt-extinguishment loss, so the increase in net income is not solely indicative of operating improvement.
Cash, debt, and liquidity
- At December 28, 2019, cash and cash equivalents were $1,097.7 million and working capital was approximately $1,576.5 million, versus $711.0 million and $1,249.2 million at March 30, 2019.
- Nine-month investing cash outflow was $623.1 million, including $494.8 million for business acquisitions and $129.0 million of capital expenditures. Financing cash inflow was $279.1 million, including $659.0 million of borrowings and debt issuance; share repurchases used $390.1 million.
- Total debt carrying value was approximately $1,573.9 million, compared with $921.0 million at fiscal year-end. The increase principally reflects $550.0 million of 4.375% notes due 2029 and a $100.0 million term-loan draw. No revolving-facility borrowings were outstanding during the nine-month period; the company reported compliance with credit-facility covenants.
- Qorvo repurchased approximately 5.1 million shares for $390.1 million during the nine months. A new $1.0 billion authorization was announced; $890.9 million remained available at quarter-end.
Material changes, outlook, and risks
- Qorvo acquired Active-Semi in May 2019 and completed its acquisition of Cavendish in October for a total purchase price of $305.9 million. Acquisition and integration costs and increased R&D spending partly offset other expense reductions.
- Shipments to Huawei were suspended after its addition to the U.S. Entity List; some products not subject to export restrictions resumed shipping from outside the U.S. Other shipments require a license. Management said trade restrictions continued to affect Huawei and base-station demand.
- Restructuring continued, including the phased closure of a Florida wafer facility and idling production at a Texas facility. Cumulative charges for those actions were $88.1 million; management expected approximately $5.0 million of additional termination and exit costs.
- After quarter-end, Qorvo agreed to acquire Custom MMIC for approximately $105 million and Decawave for approximately $400 million, subject to customary closing conditions; both were expected to close in fiscal Q4 2020.
- Management said existing cash, operating cash flow, and the credit facility were expected to be sufficient for short- and long-term requirements, while noting that a significant demand decline or faster-than-expected growth could strain operating cash flow. The filing provides no specific revenue or earnings guidance.
- Key disclosed risks include customer concentration, Huawei and other trade restrictions, demand and product-design changes, pricing pressure, manufacturing utilization and yields, acquisition execution, debt service and financing access, and international and tax exposures. Qorvo also disclosed that some foreign earnings could incur state or withholding taxes if repatriated.
