Quanterix Corp annual report, FY2023

Quanterix Corporation — FY2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023; comparisons are with FY2022 unless noted. This filing reports annual results, not standalone fourth-quarter financials.

Business context

Quanterix develops ultra-sensitive Simoa digital immunoassay platforms, instruments, assays, consumables and laboratory services for life-sciences research and diagnostics. Its strategy emphasizes research/pharma and expansion into clinical diagnostics, particularly neurology. In 2023 it launched Lucent Diagnostics Alzheimer’s blood tests and completed most of its assay redevelopment program.

Revenue grew 16%. Consumables and other product sales were $63.8 million; instrument sales were $15.7 million. Service and other revenue was $40.3 million. Management reported a non-GAAP gross margin of 51.1% for 2023 versus 37.5% in 2022; this measure reclassifies product shipping and handling costs from selling, general and administrative expense to cost of product revenue.

At year-end, current assets were $378.4 million and current liabilities were $38.5 million. Total liabilities were $78.1 million, including $41.5 million of operating lease liabilities; no funded debt is reported on the balance sheet. The company had an accumulated deficit of $434.5 million.

Changes and notable items

  • Consumables revenue increased $19.0 million and higher average selling prices contributed to product revenue growth; instrument sales fell $9.3 million amid constrained customer capital funding.
  • Accelerator Laboratory revenue increased $9.0 million, while revenue recognized under the Lilly collaboration declined $4.9 million, partly reflecting non-recurring upfront payments in 2022.
  • Lower product costs, improved inventory management and manufacturing processes, and higher interest income helped reduce the net loss. Interest income rose to $15.8 million from $5.1 million.
  • 2022 included $29.3 million of impairment and restructuring expense, including goodwill and unused-facility impairments and workforce-reduction costs. 2023 included $1.5 million, primarily further impairment of unused leased facilities.
  • 2023 other income included a $2.4 million Employee Retention Credit receivable. Cash used in investing activities was $148.4 million, principally reflecting purchases of marketable securities.

Outlook, risks and contingencies

  • Management expects instrument-sales softness to continue in 2024 and does not expect material revenue from Lucent Diagnostics tests until late 2024 or later. It expects operating losses to continue for at least the next 24 months.
  • Management believes cash, cash equivalents, marketable securities and operating receipts can fund anticipated requirements for at least 12 months from the filing date. Additional capital may be needed if requirements exceed available resources; financing availability and terms are not assured.
  • Five Simoa Advantage PLUS assays began shipping in Q1 2024 after the assay redevelopment program was substantially completed in Q4 2023. The company expects to apply improved processes to additional assays.
  • The FDA proposed a rule in September 2023 to phase out general enforcement discretion for laboratory-developed tests and introduce greater device regulation over four years. The filing noted an FDA target date of April 2024 for final action; timing and impact were uncertain. The company’s clinical tests had not been cleared or approved by the FDA.
  • Management and Ernst & Young concluded internal control over financial reporting was ineffective at year-end due to continuing material weaknesses in inventory valuation and property and equipment. Disclosure controls were also deemed ineffective. The auditor issued an adverse opinion on internal control, while giving an unqualified opinion on the financial statements. Remediation was expected to continue through 2024; no material misstatements from the weaknesses were identified.
  • Other significant risks include reliance on single manufacturers for HD-X and SR-X instruments, limited or single-source suppliers, customer concentration (one customer represented about $14.0 million of 2023 revenue), international exposure, reimbursement uncertainty, and competition. No legal proceedings expected to materially affect financial condition or results were reported.

Important facts for investors to verify

  • Whether 2024 instrument demand, consumables growth and gross-margin improvement align with management’s expectations.
  • Lucent Diagnostics test adoption, clinical evidence, reimbursement prospects and any changes to FDA or other regulatory requirements.
  • Progress in remediating the inventory-valuation and property-and-equipment control weaknesses, including subsequent auditor assessments.
  • Cash burn, marketable-security availability and maturity profile, and whether the stated liquidity runway remains adequate as losses continue.
  • Customer concentration and continuity of instrument and assay supply from key manufacturers and suppliers.
