Material changes and notable items

  • Revenue mix: Filtration revenue fell to $347.8 million from $495.9 million; chromatography declined to $126.6 million from $131.7 million; proteins declined to $103.5 million from $114.3 million. Process analytics increased to $56.8 million from $53.5 million.
  • Drivers: Management attributed the revenue decline mainly to lower COVID-19-related demand, as customers worked through inventory. Price increases, growth in chromatography systems and flow paths, and process analytics growth partially offset the decline. FlexBiosys and Metenova acquisitions also contributed to 2023 revenue.
  • Restructuring: The company recorded $32.2 million of pretax restructuring costs, including $23.6 million of inventory write-downs and $3.8 million of accelerated depreciation. The plan includes headcount reductions, facility consolidation and discontinuation of certain SKUs; completion is expected by the end of Q3 2024. Management says $27.6 million of 2023 costs were non-cash.
  • Acquisitions: FlexBiosys and Metenova were acquired in 2023 for aggregate cash consideration net of cash acquired of $186.6 million. Purchase accounting remained preliminary for both at year-end. Metenova’s preliminary allocation included $115.8 million of goodwill and $58.8 million of intangible assets.
  • Cash flow and investment: Operating cash flow declined by $58.2 million. Investing activities included the acquisitions and $39.0 million of capital expenditures, partly offset by $102.3 million from maturing U.S. Treasury bills. Cash from financing activities included the notes issuance.
  • Debt-related charges: The notes exchange generated a $12.7 million loss on extinguishment of debt and an $82.1 million debt discount. Reported results also included $24.1 million of investment income and a $30.6 million gain from a reduction in contingent-consideration fair value, largely associated with Avitide.

Outlook, risks and contingencies

Management expects COVID-19 vaccine-related demand reductions, inflation and foreign-exchange effects to continue affecting results in 2024. It expects 2024 operating expenses to increase as it expands the bioprocessing business, and plans continued investment in product development, manufacturing capacity and commercial capabilities. The filing provides no numerical revenue or earnings guidance.

Key risks include customer order timing and industry spending, dependence on limited or sole-source suppliers for some products, manufacturing capacity and quality, competition, acquisition integration and goodwill/intangible-asset valuation, and foreign-currency exposure. 38.5% of 2023 revenue was denominated in foreign currencies; the company does not currently hedge this exposure. It also identifies geopolitical disruption, cybersecurity, regulatory/export-control compliance and potential supply-chain interruptions as risks. No legal proceedings were identified as expected to have a material adverse effect.

Control weakness: Management and the auditor concluded internal control over financial reporting was ineffective at December 31, 2023 because of a material weakness in controls over deferred-tax accounting for complex, non-routine transactions—specifically, the 2023 convertible-note exchange and issuance. The company reported no resulting financial-statement error, and the financial-statement audit opinion was unqualified; the auditor issued an adverse opinion on internal control. Management is implementing remediation measures, with no assurance in the filing that remediation will be completed successfully or promptly.

Important facts for investors to verify

  • Whether 2024 demand and revenue stabilize as customers reduce excess inventory and COVID-related sales continue to normalize.
  • Progress on restructuring, including remaining costs, expected savings, facility consolidation and any further inventory write-downs.
  • Remediation and testing of the deferred-tax control weakness, and the scope of controls at the newly acquired businesses, which were excluded from management’s 2023 control assessment.
  • Cash requirements and potential dilution or cash settlement under the 2028 convertible notes, plus repayment or conversion of the remaining 2024 notes.
  • Final purchase-price allocations and contingent earnout obligations for 2023 acquisitions; the filing discloses potential acquisition earnouts, including up to $52.0 million for FlexBiosys and Metenova combined.
