Revolver availability was $343.7 million, for reported cash plus availability of $351.2 million. The company was in compliance with its credit agreement covenants.
Operating cash flow improved year over year, principally because of working-capital movements, including higher accounts payable, partly offset by higher receivables. Financing cash outflow was $46.5 million, including $39.0 million of net debt repayments and $7.5 million of stock purchases and equity-plan tax settlements. Backlog was $360 million, down 18% from $437 million a year earlier.
Changes and segment results
- Consolidated: Sales declined $24.6 million, or 7.7%. Organic revenue fell 12.4%, reflecting a 14% volume decline partly offset by 1% higher pricing. QAP, acquired in 2022, contributed $14.3 million of Residential sales.
- Renewables: Sales fell 24.9% to $59.2 million; operating margin improved to 3.8% from negative 8.9%. Solar-panel import constraints and adverse winter weather delayed projects.
- Residential: Sales were essentially flat at $179.5 million, with QAP and participation gains offset by channel inventory correction, normalized seasonality, and weather. Operating margin declined to 16.4% from 18.6%, including expected QAP margin pressure.
- Agtech: Sales decreased 15.3% to $35.9 million as customers re-scoped and reprioritized growing-facility projects; backlog fell 32%. Operating margin increased to 6.5% from 0.1%.
- Infrastructure: Sales rose 8.7% to $18.7 million; backlog increased 38% and operating margin improved to 14.5% from 6.9%.
Gross margin improvement reflected business mix, field productivity, supply-chain management, and operating-system progress. SG&A rose 9.0% to $47.6 million, driven by performance-based compensation and QAP, and increased to 16.2% of sales from 13.7%. Interest expense rose to $1.5 million from $0.5 million, reflecting higher interest rates and borrowing balances.
Outlook, risks, and other items
The filing provides no specific numerical earnings or revenue guidance. Management said some inflation, labor, logistics, and supply-chain pressures could continue in 2023. Solar results remain exposed to panel availability and U.S. import rules: UFLPA documentation and shipment reviews have delayed imports, while a preliminary U.S. Department of Commerce circumvention determination remained under investigation, with a final determination scheduled for August 17, 2023. Management expects the Inflation Reduction Act to support longer-term industry demand, while noting that further tax-credit guidance was pending.
Management expects Residential margins to improve with seasonal volume, better price-to-material-cost alignment, and QAP integration benefits. It also cited continued positive Infrastructure momentum associated with public infrastructure spending. These are forward-looking expectations, not guarantees. Other risks include customer project delays, weaker demand, working-capital needs, interest-rate and foreign-exchange movements, and the possibility that financing may not be available on acceptable terms.
Exit and asset-impairment activity totaled $0.6 million in Q1 2023, versus $2.5 million in Q1 2022; current-period costs related in part to closure and sale of a previously closed facility. The company repurchased 153,537 shares for $7.4 million during the quarter and had repurchased $93.2 million under its $200 million authorization by March 31, 2023. No material legal proceedings or changes to previously disclosed risk factors were reported. Management concluded disclosure controls were effective.
Important facts for investors to verify
- Whether solar-panel imports and customer project schedules recover, and how UFLPA and trade-duty developments affect Renewables backlog and sales.
- Whether the 18% consolidated backlog decline and 32% Agtech backlog decline convert into future revenue.
- Whether gross-margin gains persist despite lower volumes, higher SG&A, and Residential/QAP margin pressure.
- How much of Q1 operating cash flow reflects sustainable cash generation versus payment timing and working-capital movements.
- Future borrowing, interest costs, liquidity, and remaining share-repurchase capacity; the filing reports $343.7 million of revolver availability and $106.8 million remaining under the authorization at quarter-end.
