Reporting period: Quarter and six months ended September 30, 2021 (fiscal Q2 2022), compared with the corresponding 2020 periods. (MAAC) and a concurrent PIPE financing; its shares began trading on Nasdaq on October 1.

Revenue was principally from licensing, subscription and service arrangements and clinical product sales; management said revenue remained insignificant. Calculated revenue less cost-of-revenue margins were approximately 54% for the quarter and 67% for the six months, but these apply to a small revenue base and are not a measure of product profitability.

At September 30, cash and cash equivalents were $2.497 billion; cash, cash equivalents and restricted cash totaled $2.509 billion. Current assets were $2.556 billion versus current liabilities of $303.4 million. Long-term debt, net, was $199.9 million; its stated principal was $208.2 million. Total liabilities were $652.0 million. Accumulated deficit was $2.209 billion. Management expected available cash and cash equivalents to fund committed operating expenses and capital expenditure requirements for at least 12 months from issuance of the statements.

Six-month investing activities provided $315.1 million, including $320.2 million of proceeds from the Datavant merger; financing activities provided $314.1 million, including $213.4 million received at the business-combination closing. Operating cash use was $261.8 million.

Material changes and unusual items

  • Six-month revenue rose to $21.7 million from $2.9 million, but remained small relative to operating costs. Six-month R&D increased by $176.7 million and G&A by $403.7 million year over year.
  • The September quarter included $397.3 million of share-based compensation expense. The business-combination liquidity event triggered a one-time catch-up charge of $372.9 million for previously granted awards, substantially increasing reported G&A and R&D expense.
  • R&D included $82.1 million for an asset acquisition and in-licensed intellectual property, expensed as acquired in-process research and development with no alternative future use. Tapinarof program expense also included a C$50.0 million development milestone, approximately $39 million, and purchases of clinical product and commercial active pharmaceutical ingredient.
  • The Datavant-Ciox merger generated a $443.8 million accounting gain on remeasurement and approximately $320 million in cash proceeds; Roivant retained a minority stake. The gain materially affected reported loss but was not equivalent to the cash proceeds.
  • Six-month results also included a $66.5 million gain on termination of Sumitomo options. Roivant received a $5 million contractual payment, net of withholding taxes, in connection with related asset transfers.
  • Roivant issued 22 million shares in the $220 million PIPE at $10 per share. Cash received at closing was $213.4 million, net of specified transaction-related amounts. The business combination also resulted in fair-value liabilities for warrants and earn-out shares.
  • Changes in fair value of investments and debt/liability instruments affected earnings. Six-month investment fair-value gains were $23.7 million, compared with $125.4 million in 2020; these are valuation changes, not operating revenue.

Outlook, commentary and risks

Management expected operating losses and expenses to increase as Roivant advances clinical programs, invests in drug discovery, acquires or licenses candidates, and operates as a public company. It anticipated continued financing through cash on hand and potentially equity, debt, subsidiary interests, collaborations or licensing. Additional financing may not be available on acceptable terms; if it is not, development could be delayed or scaled back. The company had no specific consolidated revenue or earnings guidance in the provided filing text.

Pipeline catalysts listed included an FDA decision on tapinarof for psoriasis expected in Q2 2022; tapinarof Phase 3 atopic dermatitis data expected in 1H 2023; and a planned Immunovant pivotal myasthenia gravis trial initiation in early 2022. These were expectations at the filing date and were subject to change. Immunovant had paused batoclimab dosing after elevated cholesterol and LDL levels; further development was subject to regulatory and clinical assessment.

COVID-19 had disrupted some trial sites and delayed certain development timelines, although management reported no material financial impact to date. Key risks include clinical efficacy and safety uncertainty, trial enrollment and manufacturing delays, regulatory approval, reliance on third parties, intellectual-property disputes, potential dilution and the uncertain economics of the Vant structure. Roivant reported no current legal proceeding with a probable and estimable material loss and stated that disclosure controls were effective as of September 30, 2021.

Important facts for investors to verify

  • Confirm the reporting period: the filing covers the quarter ended September 30, 2021, not 2020 Q2.
  • Assess cash burn against the $2.497 billion cash balance and management’s at-least-12-month liquidity statement, including future clinical, acquisition and financing needs.
  • Separate recurring operating costs from the $372.9 million share-based compensation catch-up and other acquisition, fair-value and transaction-related items when assessing underlying losses.
  • Review the assumptions and valuation sensitivity underlying the $443.8 million Datavant accounting gain and the retained minority investment.
  • Track tapinarof’s regulatory and commercialization progress, and batoclimab’s safety, regulatory discussions and restart plans.
  • Review debt terms and potential future obligations, including Dermavant’s $160 million tapinarof revenue-interest funding commitment that is conditional on FDA approval, plus milestone and royalty commitments.
  • Consider dilution and trading-supply effects from outstanding equity awards, warrants, earn-out shares, PIPE shares and lock-up expirations.
