ROKU, INC quarterly report, Q2 FY2023

Roku, Inc. — Q2 2023 Form 10-Q

Reporting period: Quarter and six months ended June 30, 2023. Figures below are in U.S. dollars; financial statement amounts are unaudited.

Business context and key metrics

Roku earns platform revenue primarily from digital advertising and content distribution, and devices revenue from streaming players, TVs, smart-home and audio products, and licensing. Management says its strategy is to grow active accounts and streaming engagement, with devices potentially sold at low or negative margins to support platform growth.

  • Active accounts: 73.5 million, up 16% year over year.
  • Q2 streaming hours: 25.1 billion, up 21% year over year.
  • ARPU: $40.67, down 7% year over year, as account growth outpaced platform revenue growth.

Financial performance

  • Q2 revenue: $847.2 million, up 11%. Platform revenue was $743.8 million (+11%) and devices revenue was $103.4 million (+9%). Platform growth reflected content distribution services and moderately higher advertising revenue.
  • Q2 gross profit: $378.3 million, up 7%; gross margin was approximately 44.7%, versus 46.5% a year earlier. Platform gross profit was $395.8 million; devices had a gross loss of $17.6 million.
  • Q2 operating expenses: $504.2 million, up 8%, including sales and marketing expense up 23%. Operating loss was $126.0 million, versus $110.5 million.
  • Q2 net loss: $107.6 million, or $0.76 per diluted share, compared with $112.3 million, or $0.82 per share. Higher interest income contributed to the improvement despite a larger operating loss.
  • First-half revenue: $1.588 billion, up 6%. Platform revenue rose 5%, while devices revenue rose 13%; the latter included a $10 million prior-period licensing transaction-price adjustment recognized in Q1.
  • First-half gross profit: $715.9 million, down 1%; gross margin was approximately 45.1%, versus 48.1%. Operating loss widened to $338.4 million from $134.0 million, and net loss widened to $301.2 million from $138.6 million, or $2.14 versus $1.02 per share.
  • Cash flow, first half: Operating activities used $6.4 million (versus $9.9 million used); investing activities used $82.3 million; financing activities used $78.5 million, principally reflecting repayment of $80.0 million of debt.
  • Liquidity and debt: At June 30, cash and cash equivalents were $1.755 billion, with $40.7 million of restricted cash. Roku had no outstanding debt after repaying its credit facility in February. Management believes available cash is sufficient for working capital, capital expenditures and known material cash requirements for the next 12 months and beyond.

Changes, outlook and risks

  • Advertising demand remained pressured by inflation, higher interest rates and economic uncertainty. First-half platform growth from distribution services was partly offset by lower advertising revenue.
  • Streaming-player unit sales and average selling prices declined in Q2 by 3% and 7%, respectively; for the first half, they declined by 9% and 4%. New Roku-branded TVs and smart-home products supported devices revenue growth.
  • Roku recorded $31.3 million of restructuring charges in the first half, including employee termination costs, facility exit costs and asset impairment. The March 2023 plan included additional workforce reductions and exiting or subleasing certain facilities. Q2 net restructuring charges were $0.05 million.
  • Management stated that operating-expense year-over-year growth was expected to decline significantly over 2023. The filing does not provide quantified revenue, profit or cash-flow guidance.
  • Commitments and obligations include $180.2 million of non-cancelable inventory purchase commitments and $344.9 million of content obligations; $252.3 million of the content obligations was not yet recognized on the balance sheet. Operating lease liabilities totaled $648.7 million.
  • Key risks include competition for users, advertisers and content; macroeconomic sensitivity of advertising and consumer spending; content and retail-partner concentration; reliance on contract manufacturers and some sole-source components; cybersecurity and privacy obligations; and regulatory and intellectual-property exposure. Roku reported no material loss contingencies for the periods presented.
