Roku, Inc. — 2021 Form 10-K Summary
Reporting period: Fiscal year ended December 31, 2021. This filing reports annual results; it does not provide a clear set of standalone fourth-quarter financial results. Roku operates a Platform segment (advertising, content distribution and related services) and a Player segment (streaming players and audio products).
Business context and operating performance
Roku said it was the leading TV streaming platform in the U.S., Mexico and Canada by hours streamed. Its strategy is to grow active accounts and streaming engagement, then monetize those activities through advertising, content distribution and commerce. At year-end, it had 60.1 million active accounts, up 17%, and 73.2 billion streaming hours for the year, up 25%. ARPU rose 43% to $41.03.

Gross margin increased to 51% from 45%; operating margin was about 9%, versus a 2% loss margin in 2020. Platform gross profit was $1.461 billion, while the Player segment recorded a $52.4 million gross loss, compared with $43.7 million of player gross profit in 2020.
At December 31, 2021, cash and cash equivalents were $2.146 billion, versus $1.093 billion a year earlier. Total debt was $90 million; the term loan carried a 2.0% effective interest rate and matures in February 2023. Roku had $38 million of letters of credit against its $100 million revolving facility and was in covenant compliance. Management said existing cash, operating cash flow and available credit should cover working capital, capital expenditures and known contractual needs for the next 12 months and beyond.
Investing cash outflow was $176.8 million, including $136.8 million for acquisitions and $40.0 million for property and equipment. Financing cash inflow was $1.003 billion, primarily from a March 2021 at-the-market stock offering that generated $989.6 million net of costs.
Material changes versus 2020
- Platform revenue and gross profit expanded sharply, supported by advertising and content distribution services, including media and entertainment promotions and Premium Subscriptions.
- Player revenue declined as player units sold fell 4% and average selling price fell 7%. Higher component and freight costs, alongside promotional pricing, drove player gross margin negative.
- Operating expenses rose 42% to $1.174 billion, including increased personnel and stock-based compensation, marketing, and legal and professional costs.
- Roku acquired Nielsen’s Advanced Video Advertising business and This Old House, and acquired Quibi content rights. Content assets increased to $223.7 million from $7.9 million; content amortization rose to $95.6 million from $22.4 million.
- Streaming-hour data was adjusted for historical logging errors that had included some pause time. Roku said the corrections affected previously reported operating metrics, not financial results; the issue was addressed by August 2020.
Outlook, risks and unusual items
- Outlook: Roku expected supply-chain and cost pressures to continue in the near term and player gross margin to remain negative until conditions normalize. It planned continued investment in platform development, advertising, sales and marketing, and licensed and original content. No specific numerical revenue or earnings guidance is provided in the filing.
- Macroeconomic and supply risks: COVID-19 effects, component shortages, shipping delays and inflation raised product costs and constrained supply. Some TV brand partners’ inventory challenges affected unit sales and, in Roku’s view, account and streaming-hour growth. Roku relies on contract manufacturers and certain sole-source components.
- Business concentration and monetization: The top three streaming services accounted for more than half of 2021 streaming hours. Roku noted that streaming hours do not directly determine revenue and that access to advertising inventory and user data varies by content partner.
- Commitments: Roku disclosed $421.0 million of licensed-content obligations, including $277.7 million not yet recognized on the balance sheet, and $195.2 million of non-cancelable inventory purchase commitments. Content-obligation payments are concentrated in 2022 and 2023.
- Legal and regulatory: Roku recorded $10.0 million of 2021 expenses for patent-infringement claims. It said the outcomes of current proceedings were not expected to have a material adverse effect, while noting litigation outcomes are uncertain. Privacy, data security, advertising, content and internet regulation remain material risks.
- Other considerations: The credit facility is secured by substantially all assets and includes a minimum adjusted quick-ratio covenant. The dual-class share structure gives Class B shares ten votes each versus one vote for Class A; the CEO controlled a majority of combined voting power at year-end. The company does not expect to pay dividends.
Important facts for investors to verify
- Whether platform growth and monetization can continue to offset the Player segment’s negative gross margin and higher operating expenses.
- Whether component availability, freight costs and partner TV inventory recover as management expects, and how quickly player margins normalize.
- The sustainability and quality of advertising growth, including advertising demand, available inventory, content-partner access and privacy-related limits on targeting.
- Cash conversion and working-capital needs, including collections, content spending, contractual commitments and the timing of acquisition-related payments.
- Historical streaming-hour adjustments and the metric’s limitations; Roku’s definition excludes viewing of The Roku Channel on non-Roku platforms and may include unattended streaming.
- Debt repayment and refinancing plans ahead of the February 2023 facility maturity, along with covenant compliance and the effect of stock issuance and equity compensation on dilution.
