Material changes and unusual items

  • Durango Casino & Resort opened in December 2023. Its development contributed to revenue growth, higher depreciation, and substantially increased capital spending; 2023 included $53.4 million of preopening and development costs.
  • Interest expense, net, rose 39.4% to $181.0 million, reflecting higher variable rates and greater revolver borrowings. About $2.1 billion of debt was variable-rate; a 1 percentage-point rate increase was estimated to add about $21.2 million to annual interest cost.
  • Write-downs and other were a $32.0 million expense in 2023, versus a $47.7 million gain in 2022. 2023 included $38.6 million of net land-sale gains, demolition costs, and development and preopening costs. The 2022 comparison included $80.0 million of impairment charges related mainly to permanently closed properties, alongside significant asset-sale gains.
  • Texas Station and Fiesta Rancho land parcels were sold in November 2023 for $58.4 million, producing a reported net gain of $37.9 million. Texas Station, Fiesta Henderson, Fiesta Rancho and Wild Wild West had been permanently closed in 2022.
  • Red Rock paid quarterly dividends totaling $1.00 per Class A share in 2023. In February 2024, it announced an additional $0.25 quarterly dividend and a $1.00 special dividend, both payable in March 2024.

Outlook, risks and contingencies

The filing gives no formal revenue or earnings guidance. Management expects 2024 capital expenditures of approximately $140 million to $180 million, required debt principal payments of $26.1 million and interest payments of $217.9 million, as well as dividends and distributions. Management said cash, operating cash generation, revolver availability and a planned refinancing are expected to fund near-term needs, but noted that actual liquidity and financing access are subject to economic and market conditions.

The $512.0 million revolver balance and $153.6 million Term Loan A balance were due in February 2025. Management was discussing refinancing with lenders and considered long-term refinancing in 2024 probable. The company reported compliance with debt covenants at December 31, 2023. Inflation, wage and utility costs, higher interest rates, dependence on the Las Vegas economy, competition, labor organization activity, gaming regulation, cybersecurity, and substantial indebtedness remain significant risks.

The North Fork tribal gaming project remains contingent on financing and litigation. The NIGC chair approved the management agreement on January 5, 2024, but litigation remained unresolved. Red Rock had $45.9 million of carrying-value development costs at year-end and had advanced approximately $61.0 million cumulatively. Management estimated a 75%–85% likelihood of successful completion as of year-end; construction and opening timing are uncertain, and recovery of the investment is not assured.

The 10-K reports unqualified audit opinions on the financial statements and internal control over financial reporting. A previously reported weakness concerning review and approval of vendor payment-file changes was reported remediated by December 31, 2023.

Key facts for investors to verify

  • Review the full annual financial statements and notes for debt terms, maturities, covenants, and the assumptions underlying the expected 2024 refinancing.
  • Track Durango’s post-opening performance and whether elevated development spending and costs translate into sustained revenue and cash-flow growth.
  • Monitor variable-rate debt exposure, interest expense, operating cash flow, and the company’s ability to fund dividends alongside capital expenditures and debt service.
  • Follow North Fork litigation, financing, construction milestones, and recoverability of the $45.9 million recorded development-cost asset.
  • Assess the effect of controlling ownership, noncontrolling interests, and the tax receivable agreement on public-stockholder economics and available distributions.
