Quarterly sales rose 53.8%; server and storage systems sales increased 68.4%, while subsystems and accessories sales declined 23.6%. Management attributed systems growth to higher compute-node shipments and average selling prices, particularly for GPU-based products. Operating expenses increased 8.4%, slower than sales growth, and fell to 6.7% of sales from 9.6%. Gross-margin improvement reflected lower freight and certain component costs, along with production efficiencies. Six-month inventory provisions for excess and obsolete stock were $25.4 million, versus $3.7 million a year earlier.
Cash, debt and liquidity
- Cash and cash equivalents were $304.6 million at December 31, 2022, compared with $267.4 million at June 30, 2022. Six-month operating cash flow was $474.7 million; investing cash outflow was $20.6 million and financing cash outflow was $415.8 million.
- Total debt fell to $170.1 million from $596.8 million at June 30, 2022, primarily reflecting repayments of revolving borrowings. Debt comprised $27.9 million current and $142.3 million long-term. The company reported compliance with debt covenants.
- Current assets were $2,649.5 million and current liabilities $916.9 million. Receivables were $768.2 million and inventory $1,421.8 million, compared with $834.5 million and $1,545.6 million, respectively, at June 30.
- Management said cash, available borrowing capacity, and internally generated cash were expected to be sufficient for operations and maturing debt and interest payments for the 12 months following issuance of the statements.
Outlook, risks and notable items
- The filing provides no specific revenue or earnings guidance. Management anticipates approximately $33 million of capital expenditures for the remainder of FY2023; a possible Malaysia land acquisition could add approximately $14 million, subject to completion.
- Supply availability remains a risk: management said constrained components were directed toward systems rather than standalone subsystems. Two suppliers represented 14.1% and 17.6% of quarterly purchases. Related-party Ablecom manufactured approximately 95.5% of chassis included in products sold in the quarter.
- Related-party transactions warrant attention. Ablecom and Compuware are connected to the CEO’s family; outstanding noncancelable purchase orders to related parties were included in $422.9 million of total noncancelable purchase commitments.
- One customer represented 15.8% of six-month net sales. The filing also describes a proposed securities class-action settlement of $18.25 million, of which the company would fund $2.0 million; preliminary approval had been granted, with final approval pending.
- Unrecognized tax benefits totaled $41.1 million. U.S. tax rules requiring capitalization and amortization of R&D expenses took effect in FY2023; the company noted that changes to the law were uncertain. Foreign-exchange movements produced a $6.9 million loss in the quarter, while six-month realized and unrealized gains were $0.9 million.
- The company reported effective disclosure controls and no material changes to internal control over financial reporting during the quarter.
Important facts for investors to verify

- How component constraints, inventory provisions, and supplier concentration affect deliveries and profitability.
- Progress on the Malaysia land acquisition and related capital spending, and actual FY2023 investment needs.
- Final court approval and resolution of the proposed securities settlement.
- Customer concentration, related-party purchasing and outstanding commitments, and the company’s ability to maintain liquidity while continuing debt repayment.
