Revenue fell 48%, mainly because the NIAID OrbeShield contract ended and BARDA did not extend its contract beyond the base period. New NIH grants partially offset the decline: approximately $1.5 million each over two years for SGX301 and SGX942. Gross margin improved by two percentage points, while R&D expense rose 28%, largely reflecting SGX942 Phase 3 preparation and SGX301 Phase 3 activity.

Net loss widened by $3.90 million. The comparison is affected by FY 2016 other income, including a $1.54 million warrant-liability fair-value gain and a $391,000 reversal of a previously accrued amount; neither recurred in 2017. The 2017 tax benefit of $417,000 came from selling New Jersey NOL carryforwards, and was received in January 2018.

Financing activities provided $5.57 million in 2017, principally from public/private offerings and at-the-market stock sales. Shares outstanding increased from 5.47 million at year-end 2016 to 8.73 million at year-end 2017. No notes payable were reported at year-end 2017; current liabilities were $3.23 million, primarily accounts payable and accruals.

Pipeline, outlook, and material risks

  • SGX301: Pivotal Phase 3 trial for cutaneous T-cell lymphoma was ongoing. Management anticipated interim analysis in the second half of 2018 and final results in the first half of 2019.
  • SGX942: Pivotal Phase 3 trial for oral mucositis began in July 2017. Interim analysis was anticipated in the first half of 2019 and final results in the second half of 2019. SciClone holds exclusive development and commercialization rights in specified Asian territories, with royalties to Soligenix.
  • Other programs: RiVax remained in development with NIH/NIAID support; a Phase 1/2 trial was planned for the first half of 2018. SGX203 Phase 3 plans depended on additional funding or a partner. OrbeShield development was contingent on renewed government funding after BARDA declined to extend its contract. SGX201 and SGX943 were earlier-stage programs.
  • Liquidity outlook: Management expected available cash, government funding, the Lincoln Park equity facility and New Jersey NOL proceeds to fund operations for at least 12 months from issuance of the financial statements. The company cited up to $19.6 million in awarded contract/grant funding, subject to agency options and continuation, and $10.2 million available under an equity facility expiring in March 2019. It forecast approximately $10.7 million of R&D expenditures over the next 12 months, with about $5.2 million expected to be reimbursed. Funding, partnership and financing outcomes are not assured.
  • Going concern and execution risks: Soligenix had an accumulated deficit of $157.3 million, expected continuing losses, and stated that it would need additional funding absent product or licensing revenue. Failure to raise capital could delay or stop programs. Clinical success, regulatory approval, government procurement, reimbursement and commercialization remain uncertain.
  • Funding and dilution: Government agencies may terminate contracts or decline options; the BARDA OrbeShield contract was not extended. Additional equity financing could dilute shareholders. At year-end, 2.58 million warrants and 786,000 options were outstanding, in addition to potential future equity issuances.
  • Other risks and contingencies: The company relies on third-party manufacturers and clinical research organizations, generally with single suppliers for drug substances. Licensing arrangements may require up to $7.9 million in milestones and royalties of up to 6% of covered net sales; approximately $197,000 of milestones had been accrued. The 2017 statements include a provisional accounting estimate for the Tax Act, with a full valuation allowance against deferred tax assets.

Most important facts for investors to verify

  • Whether SGX301 and SGX942 enrollment, interim analyses and final-result timelines were achieved, and how trial outcomes compare with prior-stage findings.
  • Actual cash burn, subsequent financing, and the availability and terms of remaining Lincoln Park and government funding, including any agency options exercised.
  • Whether the loss of BARDA funding materially changes OrbeShield’s development plans or the company’s forecast reimbursements.
  • Share-count changes, equity issuance costs, warrant and option dilution, and the remaining capacity of financing facilities.
  • Whether management’s stated liquidity runway and projected R&D spending remain reasonable given continuing losses and the absence of product-sales revenue.
