Revenue fell about 15%. Finance receivable interest and fee income was $9.3 million, while pharmaceutical development revenue was $0.1 million and other revenue was $0.03 million. Net income rose about 33%, supported in part by lower operating expenses and a $1.2 million year-over-year reduction in income tax expense, including a $0.6 million valuation-allowance release. The quarter included a $1.0 million unrealized warrant loss and a $0.2 million foreign-currency transaction gain.

At March 31, total assets were $300.7 million, total liabilities $26.4 million, and stockholders’ equity $274.4 million. Cash and equivalents were $3.2 million, down from $6.2 million at year-end. Finance receivables, net, were $237.0 million, including an $11.8 million allowance for credit losses. Current assets of $8.9 million were below current liabilities of $12.3 million.

Borrowings under the revolving facility were $10.5 million, compared with $2.4 million at December 31; $24.5 million remained available under its $35 million commitment. The facility matures September 30, 2025, and bears interest at monthly SOFR, subject to a 1.00% floor, plus 2.65%. Contingent consideration payable was $11.2 million.

Investing activities used $11.1 million of cash, including $13.0 million invested in finance receivables and $1.9 million of repayments received. Financing activities provided $7.5 million, including $8.0 million of net credit-facility proceeds and $0.5 million spent on share repurchases. Cash decreased by $2.9 million during the quarter.

Material changes versus the prior comparable period

  • Finance receivables revenue declined by $1.1 million, primarily because $5.3 million of interest, fees and royalties from investments paid off in 2022 was only partly offset by $4.4 million of increased income from new and existing loans.
  • Pharmaceutical development revenue declined by $0.6 million. Manufacturing, research and development expense fell by $1.2 million, reflecting lower pipeline and clinical-trial manufacturing activity.
  • General and administrative expense declined by $0.6 million to $2.5 million, mainly due to lower staffing and related costs, partly offset by higher professional and Board fees.
  • Cash from operations dropped to $0.7 million from $4.3 million, while quarter-end cash declined by $2.9 million. Facility borrowings increased by $8.0 million net.
  • Effective January 1, 2023, the company adopted CECL. The transition reduced finance receivables by $11.8 million and recorded a $0.4 million reserve for unfunded commitments; after tax effects, accumulated deficit decreased by $9.7 million. The transition was recorded in equity and did not affect Q1 2023 income.

Outlook, commentary, risks and contingencies

Management expects the finance receivables portfolio to generate positive cash flows in 2023, but gives no quantified earnings or cash-flow guidance. It cautions that investment timing is uncertain and that the portfolio may not generate cash flow above what existing assets produce; it assumes no near-term borrower repayments. The company is evaluating additional investment opportunities and other options for a credit facility.

Credit risk is concentrated in life sciences. At quarter-end, $18.9 million of finance receivables were on nonaccrual, including the Flowonix term loan ($11.8 million net carrying value), Best royalty ($2.9 million), and Ideal Implant royalty ($4.2 million). Management said none was considered impaired at that date. Flowonix was evaluating strategic alternatives. The company had $11.9 million of unfunded commitments, contingent on specified performance or other conditions.

Management says the CECL allowance is judgmental and could change materially as economic conditions, forecasts, or borrower circumstances change. Other risks include interest-rate and reference-rate transition exposure, inflation’s effect on borrowers, and uncertain recoverability of life-sciences investments. The company does not currently hedge interest-rate risk. It also states that it may not generate enough income to use all of its net operating loss carryforwards before expiration. No material litigation was expected, and management reported no material changes to previously disclosed risk factors. Disclosure controls were concluded to be effective.

Important facts for investors to verify

  • Whether borrowers, particularly the three nonaccrual exposures and Flowonix, make payments or require further write-downs; monitor the CECL allowance and portfolio credit ratings.
  • Whether new finance-receivable funding can replace income from loans and royalties paid off in 2022, and whether management’s qualified 2023 cash-flow expectation is achieved.
  • Liquidity and financing capacity: cash was $3.2 million, current liabilities exceeded current assets, and $24.5 million of revolving capacity remained available at quarter-end.
  • How rising rates, SOFR/LIBOR transitions, and borrowing costs affect lending spreads and portfolio income.
  • Whether Enteris activity, licensing milestones, and related contingent consideration develop as assumed; confirm the timing and potential use of tax-loss carryforwards.
