- Operating expenses rose 83% to $101.6 million, including higher acquired-business costs, transaction and restructuring expenses, and the absence of a $15.0 million prior-year gain from revaluing Montauk contingent consideration. Non-operating results included an $11.2 million foreign-exchange loss.
Liquidity, cash flow and debt
- At August 31, cash and cash equivalents were $215.0 million, restricted cash $3.4 million, and marketable securities $3.0 million; their combined total was $221.4 million. Working capital was $376.9 million, compared with $433.5 million a year earlier.
- Operating cash outflow was $16.5 million; investing cash outflow was $9.3 million and financing cash inflow was $14.0 million. Inventory increased $27.8 million, a significant working-capital use. Capital and intangible-asset investment was $11.0 million.
- Long-term debt had a net carrying value of $133.5 million, including $15.5 million current; convertible notes had a $59.2 million carrying value and $64.0 million principal outstanding. Lease liabilities totaled $170.5 million. Bank indebtedness was $8.7 million.
- In the quarter, the company issued 4.6 million shares through its at-the-market program for $22.3 million net proceeds and issued 5.2 million shares to exchange $24.0 million principal of convertible notes. Common shares outstanding were 144.9 million at quarter-end.
Changes, outlook and risks
- Revenue growth reflected BrewDog and other acquisitions, particularly in beverage and EMEA. Excluding acquisitions, management cited ongoing volume and competitive pressure in legacy beverage operations.
- Cannabis revenue declined amid Canadian pricing pressure, lower Canadian adult-use and wholesale sales, and a 50-basis-point sequential Canadian market-share decline to 7.4%. International cannabis revenue grew 21%, principally on German demand, but was affected by price compression.
- Management is pursuing beverage production consolidation and other cost actions, including cessation of production at the Terrapin and Hop Valley facilities and an agreement to divest Atwater. These initiatives are expected to be substantially completed by the end of fiscal 2027.
- No quantified consolidated revenue or earnings guidance is provided. Management says it is focused on positive operating cash flow and free cash flow, and believes available liquidity, operating cash generation and external funding access will meet needs; results may be affected by seasonality, integration, market conditions and regulation.
- On October 7, 2026, the beverage subsidiary amended its credit agreement: covenants will not be tested for the August quarter, certain future covenants were revised, and revolving-facility availability is limited until covenant tests resume. The company reported it could not draw the $15 million revolver at quarter-end pending covenant testing. Failure to comply with future covenants could threaten liquidity.
- After quarter-end, Tilray exchanged another $12 million principal of TLRY 27 notes for 2.8 million shares; $52 million principal remained at filing. The notes mature June 15, 2027, and management is evaluating further exchanges and other options.
- Other key risks include acquisition integration and realization of benefits, cannabis price compression and evolving regulation, import/export and licensing constraints, tariffs and input costs, foreign-exchange volatility, and dilution from equity issuance. U.S. cannabis rescheduling proceedings remain subject to legal and administrative developments. The filing reports no material change in legal proceedings; litigation accruals were $11.9 million.
