TANDEM DIABETES CARE INC annual report, FY2023

Tandem Diabetes Care, Inc. — FY2023 Form 10-K Summary

Reporting period: Fiscal year ended December 31, 2023. This is an annual filing, not a standalone fourth-quarter filing. The company designs, manufactures and sells insulin-delivery systems and related supplies, principally for people with insulin-dependent diabetes. Its flagship product was the t:slim X2 pump; Tandem Mobi became commercially available in the United States in February 2024.

Financial performance and liquidity

MetricFY2023FY2022
Sales$747.7 million$801.2 million
Gross profit / gross margin$367.7 million / 49%$413.0 million / 52%
Operating expenses$600.9 million$505.8 million
Operating loss$233.2 million$92.8 million
Net loss$222.6 million$94.6 million
Operating cash flow-$31.8 million+$50.5 million
Cash, cash equivalents and short-term investments at year-end$467.9 million$616.9 million

U.S. sales were $554.9 million, down 6%; sales outside the United States were $192.8 million, down 9%. Pump-related supplies and other sales increased in both regions, but pump sales and shipments declined. Worldwide pump shipments were approximately 104,000 in 2023, compared with 128,000 in 2022, based on the regional shipment figures in the filing.

Cost of sales was $380.0 million. Gross margin fell three percentage points, reflecting lower pump volume and mix, Tandem Choice program deferrals, and an $8.5 million rebate recorded for a market outside the United States. Improvements in material costs, average selling prices and manufacturing efficiencies partly offset these pressures.

FY2023 operating expenses included $78.8 million of acquired in-process research and development (IPR&D) expense related to AMF Medical, versus $31.0 million in FY2022 for Capillary Biomedical. Selling, general and administrative expense was $352.5 million; research and development expense was $169.7 million. The company reported $22.9 million of interest income and other, net, and $9.9 million of interest expense. The net loss per share was $3.43.

At year-end, total current assets were $748.0 million and current liabilities were $195.3 million. Inventory rose to $157.9 million from $111.1 million, in part due to rebuilding target stocks and preparing for Tandem Mobi demand. The company said available liquidity and expected operating cash flows should fund core business activities for at least the next 12 months.

Debt included $287.5 million principal amount of 1.50% convertible senior notes due May 1, 2025; their net carrying value was $285.0 million. An event of default arose from overdue additional interest associated with restrictive legends and an unrestricted CUSIP; Tandem paid the overdue amounts in November 2023. The company terminated its undrawn $50 million revolving credit facility in January 2024.

Material changes versus FY2022

  • Sales declined $53.5 million, or about 7%, and gross margin decreased from 52% to 49%.
  • U.S. pump shipments fell 12%; shipments outside the United States fell 32%. The company attributed the international decline partly to distributor inventory reductions following the launch of a centralized European distribution center; shipment trends did not directly represent end-customer demand.
  • U.S. pump purchasing was affected by economic uncertainty and customers delaying purchases ahead of anticipated Tandem Mobi availability and new CGM integrations.
  • Net loss widened by $128.0 million. The increase reflected weaker sales and margins, higher operating costs, and acquired IPR&D expense.
  • Operating cash flow moved from a $50.5 million inflow to a $31.8 million outflow, while cash and short-term investments declined by approximately $149.0 million.
  • Tandem Choice-related pump sales deferrals increased to $25.1 million from $3.5 million. The filing says the program’s remaining financial impact cannot currently be estimated; it expires December 31, 2024.

Outlook, risks and notable items

  • Outlook: The filing provides no specific numerical revenue or earnings guidance. Management expects expenses to continue increasing as it invests in product development, commercial infrastructure, customer support, manufacturing and international expansion. New-product launches may initially raise unit costs and sales and marketing expense.
  • Product development: Tandem Mobi launched in the United States in February 2024. The company is developing additional pump and infusion-set technologies and began a pivotal study intended to support expansion of Control-IQ indications to people with type 2 diabetes.
  • AMF acquisition: Tandem paid CHF 62.4 million at closing, in addition to a prior CHF 8.0 million strategic investment. Up to CHF 129.6 million in further earnouts may become payable upon development milestones and FDA clearance. These contingent amounts were not recognized as a liability at year-end because the milestones were unresolved.
  • Legal proceedings: Roche filed a January 2024 patent-infringement action at the Unified Patent Court concerning the t:slim X2. Tandem disputes infringement and challenges the patent; the outcome and potential financial exposure are not estimable from the filing. A separate putative securities class action filed in 2023 alleges inadequate disclosure of business pressures; the company intends to defend it and cannot estimate potential losses. A lawsuit relating to a 2020 phishing incident was settled in August 2023.
  • Key business risks: Continued operating losses and uncertain timing of profitability; dependence on pump sales and customer retention; intense competition; reimbursement and pricing changes; concentrated distributors and suppliers; manufacturing and inventory forecasting; product safety, regulatory and recall risks; and cybersecurity, privacy, foreign-exchange and international-market risks.
  • Other notable items: Facilities consolidation resulted in a $14.1 million impairment charge in 2023. The filing identifies warranty-reserve estimation as a critical audit matter; the year-end warranty reserve was $37.2 million. The financial-statement and internal-control audit opinions were unqualified, and the auditor concluded internal control over financial reporting was effective.

Important facts for investors to verify

  • Whether Tandem Mobi availability and new CGM integrations improve pump shipments, sales growth and customer renewals after the purchasing delays described for 2023.
  • How Tandem Choice elections and its December 2024 expiration affect recognized revenue, gross margin and cash collections.
  • Whether international distributor inventory normalizes, and how the $8.5 million rebate and subsequent reimbursement terms affect sales and margins.
  • Whether operating cash flow improves as inventory levels, product mix and acquisition-related spending evolve; compare liquidity with the May 2025 note maturity and other commitments.
  • The progress and potential costs of the Roche patent case and securities class action, including any material change to expected exposure.
  • The potential timing and amount of AMF earnout payments, and the development, regulatory and commercial milestones required to trigger them.
  • Whether pump warranty replacement experience, supplier availability and product quality support the assumptions underlying the $37.2 million warranty reserve.
