Revenue was entirely from the Vertex collaboration, not product sales. It included $17.5 million of research-service revenue and $111.5 million from recognition of upfront and milestone payments. The company received a $17.5 million Vertex milestone in November 2023; $139.0 million remained deferred at year-end. FY2023 operating margin was approximately negative 2.5% and net margin approximately negative 5.2%, calculated against collaboration revenue; these are not product margins.
R&D expense increased about 50%, primarily from higher internal personnel and facilities costs and greater preclinical spending. The reduced net loss versus 2022 mainly reflects collaboration revenue and higher interest income, partly offset by higher R&D expense and the tax provision. The $18.7 million tax expense was largely related to tax recognition of Vertex payments, despite the company’s accumulated deficit.
- Liquidity: Cash, cash equivalents and marketable securities totaled $352.0 million at December 31, 2023, versus $188.7 million a year earlier. Current assets were $369.8 million and current liabilities $158.8 million, a current ratio of approximately 2.3.
- Cash flows: Operating cash flow was positive largely because of Vertex payments and deferred revenue; it should not be read as recurring operating cash generation. Investing cash outflow was $138.4 million, largely reflecting purchases of marketable securities. Financing cash inflow was $21.0 million, including the Vertex equity investment.
- Debt and obligations: The balance sheet reports no borrowings. Operating lease liabilities totaled $68.2 million, with $94.6 million of undiscounted future lease payments. Other potential license milestone and royalty payments are contingent.
- Equity: Total stockholders’ equity was $242.4 million; accumulated deficit was $195.0 million.
Business developments and outlook
- Duchenne muscular dystrophy: ENTR-601-44 is in a UK Phase 1 trial in healthy volunteers. The FDA placed its U.S. IND on clinical hold in December 2022 and requested additional information; Entrada says it is working to resolve the hold. After year-end, the company reported that three cohorts had been dosed and expected Phase 1 data in the second half of 2024. It planned Phase 2-enabling regulatory submissions for ENTR-601-44 and ENTR-601-45 in Q4 2024, and for ENTR-601-50 in 2025. These are management plans, not assured outcomes.
- Vertex collaboration: Vertex holds an exclusive worldwide license for VX-670 and eligible DM1 candidates, with responsibility for global development, manufacturing and commercialization. Entrada received $223.7 million upfront and a $26.3 million equity investment, and is eligible for up to $485 million in additional milestones plus tiered royalties. After year-end, Vertex reported that VX-670’s Phase 1/2 trial had begun in Canada; its U.S. IND was on clinical hold pending additional information.
- Other programs: Pompe disease, ocular disease, gene-editing and other platform programs remain preclinical or in discovery. ENTR-501 for MNGIE was licensed to Pierrepont in 2023; Entrada retained potential milestone and royalty rights.
- Runway and funding: Management estimated that year-end cash, cash equivalents and marketable securities, together with ongoing research support and anticipated Vertex milestones, would fund operations through Q2 2026. This estimate depends on assumptions and milestone achievement. The company may need additional financing; its $150 million at-the-market program had no sales through year-end.
Risks, contingencies and notable disclosures
- The FDA clinical hold on ENTR-601-44 is a central regulatory risk. Clinical safety and efficacy have not been established for Entrada’s candidates; preclinical results may not predict human outcomes.
- The business depends on an unproven EEV platform, early-stage programs, third-party manufacturers and research providers, and successful clinical execution. Manufacturing scale-up, supply, patient enrollment, competition and intellectual-property protection are material risks.
- The company expects continuing operating losses and negative operating cash flows absent collaboration receipts, and may require further capital. Equity issuance could dilute shareholders; collaboration financing may require granting rights.
- Marketable securities were primarily U.S. government and corporate debt securities. Management attributed unrealized losses to interest-rate movements and reported no credit-loss allowance.
- No material litigation was reported as probable to have a material adverse effect at year-end. Management reported effective disclosure controls and internal control over financial reporting; the auditor did not provide an ICFR attestation because of the company’s emerging-growth-company exemption.
