Material changes and unusual items
- Q3 non-operating investment income was $41.4 million, including a $31.2 million realized gain from selling sponsored mutual fund investments to seed other portfolios and support international distribution. Management said the gain contributed about $0.07 per share after tax.
- Nine-month operating cash flow was reduced by securities purchases associated with newly seeded consolidated funds and by timing differences in settlements. Variable compensation was accrued during the period but is substantially paid in December.
- Money market advisory fee waivers were $8.9 million in Q3 and $25.5 million year to date, to maintain positive yields for investors.
Outlook, commentary, and risks
- Management expected money market fee waivers to continue through Q4 2012 and into 2013; estimated a 38.4% full-year 2012 effective tax rate; and expected 2012 property and equipment expenditures of about $100 million, funded from cash. Advertising and promotion spending was expected to be similar to 2011.
- Management emphasized that results fluctuate with global markets, AUM composition and flows, investment performance, fee levels, competition, and client sentiment. Institutional flows may vary materially from quarter to quarter.
- Regulatory uncertainty includes the proposed Volcker Rule, possible money market fund reforms, potential SIFI designation, derivatives rules, and evolving U.S. and international requirements. The company was evaluating whether to retain its savings bank subsidiary in light of potential Volcker Rule restrictions.
- Management considered the likelihood of material adverse outcomes from pending ordinary-course claims to be remote. The filing reported no material change in market-risk disclosures and no material control changes during Q3.
