Q3 revenue fell 25% year over year, reflecting delayed deliveries, cancellations, elevated channel inventory and softer demand. EMEA revenue declined 27% and Americas revenue declined 46%; APAC revenue increased 53%. Nine-month revenue rose 170%, which management attributed mainly to higher sales volumes in the first half and increased market acceptance and marketing activity. EI Solution revenue was $12.1 million for the first nine months, versus $1.0 million a year earlier.

Q3 net income was driven by a $50.5 million non-cash gain from remeasuring the convertible-note derivative liability before its reclassification to equity. Tigo also recorded $11.0 million of income tax expense, primarily from reinstating a valuation allowance against U.S. federal deferred tax assets. Thus, reported net income contrasts with the $11.2 million operating loss. Q3 basic EPS was $0.50 and diluted EPS was $(0.27); nine-month basic and diluted EPS were $0.19 and $0.04, respectively.

Liquidity, debt and balance sheet

  • At September 30, cash and cash equivalents were $2.2 million; marketable securities totaled $38.8 million ($34.4 million current and $4.3 million long-term). Cash plus marketable securities was approximately $41.0 million.
  • Operating cash use was $29.4 million for the first nine months, primarily reflecting inventory purchases and increased accounts receivable. Inventory rose to $57.4 million from $24.9 million at year-end 2022.
  • Total debt principal was $50.0 million under a 5% convertible promissory note due January 2026. Its balance-sheet carrying amount, net of debt discount and issuance costs, was $29.3 million; disclosed fair value was $58.1 million. The conversion terms were amended in September 2023, and the derivative liability was reclassified to equity.
  • Management stated that cash, cash equivalents and marketable securities, together with customer growth and expense management, were expected to fund operations through November 2024. Management cautioned that additional financing could be needed and was not assured.

Material changes, outlook and risks

  • Gross margin declined to 24% in Q3 from 29% a year earlier, partly due to excess and obsolete inventory charges; cost reductions and lower freight costs partly offset the decline. The nine-month margin improved to 36% from 29%.
  • Operating expenses increased to $15.4 million in Q3 from $8.7 million, with higher personnel, sales and marketing, legal, and credit-loss costs. The allowance for credit losses on receivables was $2.0 million at quarter-end.
  • Management expected revenue to be adversely affected for the remainder of 2023 as customers worked through elevated inventory and responded to slower demand. The filing provides no quantified revenue or earnings guidance.
  • Management cited installer bankruptcies, order cancellations and pushouts, slower installations, higher channel inventory, higher interest rates, changed net-metering policies and a broader macroeconomic slowdown. Supply-chain concentration, pricing pressure, seasonality, warranty exposure and the development of demand for the EI Solution are also material risks.
  • Disclosure controls were deemed ineffective at September 30, 2023, due to an unremediated material weakness in accounting for complex financial instruments, including the convertible-note conversion feature. Management said the financial statements were fairly stated in all material respects and described ongoing remediation efforts.

Most important facts for investors to verify

  • Whether delayed orders, cancellations and channel inventory improve, and whether revenue recovers after the Q3 decline.
  • Whether inventory can be converted to sales without further write-downs, and whether receivables and collections stabilize.
  • The cash burn and availability of the $38.8 million marketable-securities balance, relative to management’s stated runway through November 2024.
  • The convertible note’s amended conversion and change-of-control terms, dilution potential, maturity obligations and accounting treatment.
  • Progress in remediating the material weakness in financial reporting controls and the effect of the deferred-tax valuation allowance on future results.
