Lower demand reduced production volumes and contributed to manufacturing inefficiencies and unabsorbed overhead. Vietnam factory startup costs and lower royalty income also weighed on gross margin. R&D increased to $8.4 million from $7.8 million as product development expanded; SG&A declined to $26.8 million from $29.0 million, partly due to lower outside legal and variable expenses. Net interest expense rose to $1.0 million from $0.3 million.

Financial position and liquidity

  • Cash and cash equivalents were $56.9 million at March 31, 2023, down from $66.7 million at December 31, 2022. Working capital was $114.6 million, versus $121.6 million.
  • Borrowings under the revolving credit line were $85.0 million, with $40.0 million available under the $125.0 million facility. Total liabilities were $205.9 million; stockholders’ equity was $211.0 million.
  • The credit line carried a 6.10% interest rate at quarter-end and was scheduled to expire November 1, 2023. On May 3, 2023, the company amended it to extend maturity to April 30, 2024, transition borrowing options to SOFR or base rate, and temporarily replace specified financial covenants with EBITDA-based covenants through March 31, 2024, subject to earlier termination.
  • Management said cash, expected operating cash flow and available borrowing resources should cover expected cash needs for at least 12 months. Cash is held across jurisdictions; some foreign balances may be restricted or incur taxes upon repatriation.

Material changes, outlook and risks

  • Goodwill impairment: A decline in financial performance, weakness in the video service provider channel and economic uncertainty contributed to a significant market-capitalization decline. The company recorded a $49.1 million impairment, eliminating its goodwill balance. The long-lived asset recoverability test passed, but management warned that adverse changes in assumptions could trigger a future impairment.
  • Demand and costs: Management cited reduced consumer spending, recessionary pressures, inflation in component and logistics costs, and possible increases in labor, materials and borrowing costs. Pricing increases may be delayed or insufficient to offset cost inflation.
  • Supply chain: Component availability improved in Q1, but shortages and long lead times may continue to disrupt fulfillment and increase logistics costs. The company has used advance purchasing and inventory controls to mitigate exposure.
  • Manufacturing footprint: The company expected its new Vietnam factory to begin operations in Q2 2023 and anticipated startup costs continuing into that quarter. If the facility operates successfully, it may reduce or close an existing China facility, potentially causing material impairment and severance charges; a possible Monterrey, Mexico downsizing was also under evaluation for the second half of 2024. Estimated capital expenditures for the remainder of 2023 were $9–$12 million.
  • Taxes: Management expected U.S. pretax losses without tax benefit for full-year 2023. Q1 tax expense was $0.7 million despite a $60.7 million pretax loss, reflecting jurisdictional mix, valuation allowances, a China tax-rate change and a discrete goodwill-impairment benefit.
  • Concentrations and market risk: Comcast and Daikin accounted for 13.6% and 18.1% of Q1 sales, respectively. A 100-basis-point increase in interest rates was estimated to affect annual net income by about $0.6 million. A 10% movement in specified currencies relative to the U.S. dollar was estimated to change Q2 2023 net income by approximately $6.2 million.
  • Legal matters: The company’s patent litigation with Roku and related proceedings remain ongoing, including appeals and stayed cases. In its tariff litigation, the Court of International Trade sustained the challenged China tariffs on March 17, 2023; the company expected the lead plaintiffs to appeal. The company said it could not estimate potential litigation losses and did not expect pending matters to materially affect its consolidated financial condition, results or cash flows.

No quantitative full-year revenue or earnings guidance is provided in the filing. Management’s stated 2023 priorities include expanding climate-control, home automation and software offerings, growing beyond traditional remote controls, pursuing complementary acquisitions or partners, and optimizing manufacturing locations.

Most important facts for investors to verify

  • Whether demand in the video service provider and consumer electronics channels stabilizes, and whether revenue and gross margins recover from Q1 levels.
  • Whether the Vietnam factory starts on schedule and achieves efficient production, and whether any China or Mexico footprint changes lead to material charges.
  • Whether operating cash flow and working capital improve sufficiently to support investment needs and debt service.
  • Compliance with the amended credit agreement’s covenants, borrowing availability and refinancing terms, particularly as the facility approaches its April 2024 maturity.
  • Whether further asset impairment, foreign-exchange volatility, customer concentration or litigation outcomes materially affect results.
