Universal Electronics Inc. — FY2012 Form 10-K
Reporting period: Fiscal year ended December 31, 2012; filed March 14, 2013. The filing is an annual report, not a standalone fourth-quarter filing. UEI develops and manufactures universal remote controls, AV accessories, integrated circuits and home-entertainment control software. It reports one business segment.
Financial results and liquidity
| Metric | FY2012 | FY2011 | Change |
|---|---|---|---|
| Net sales | $463.1 million | $468.6 million | Down 1.2% |
| Gross profit / margin | $133.4 million / 28.8% | $130.1 million / 27.8% | Margin up 1.0 percentage point |
| Operating income / margin | $26.2 million / 5.6% | $26.6 million / 5.7% | Down 1.4% |
| Net income | $16.6 million | $19.9 million | Down 17.0% |
| Diluted EPS | $1.10 | $1.31 | Down 16.0% |
| Cash from operating activities | $43.5 million | $14.8 million | Up $28.7 million |
- Gross margin improved chiefly because UEI produced more units internally rather than using third-party manufacturers; licensing-related items also benefited gross profit, partly offset by customer pricing pressure. Operating expenses rose to 23.2% of sales from 22.1%, including higher R&D and intellectual-property litigation costs.
- For the fourth quarter, sales were $117.8 million versus $117.6 million; net income was $2.9 million versus $4.9 million, and diluted EPS was $0.19 versus $0.33.
- Cash and cash equivalents were $44.6 million at year-end, up from $29.4 million. Working capital was $113.5 million and the current ratio was 2.0. Cash from operations improved largely because inventory-related cash flow rebounded from the prior-year buildup.
- Year-end debt was zero, compared with $16.4 million in 2011. UEI had a $55 million secured revolving credit facility, expiring November 2014, and reported covenant compliance. Most cash was held outside the U.S.; repatriation may trigger U.S. taxes and some balances are subject to local restrictions.
- Capital spending and intangible-asset purchases totaled $11.6 million in investing cash outflows. FY2012 financing outflows were $17.6 million, including $16.4 million of net debt payments and $3.5 million of share repurchases. Contractual obligations totaled $90.7 million, including $77.4 million of purchase obligations.
Material changes and business developments
- Business-line sales (subscription broadcasting, OEM and computing) declined 2% to $410.9 million, with weaker consumer-electronics demand partly offset by subscription-broadcasting growth, particularly in Latin America. Consumer-line sales rose 11% to $52.2 million, supported by international retail growth.
- DIRECTV and its subcontractors accounted for 16.9% of sales, up from 12.2% in 2011, making customer concentration a notable exposure.
- The effective tax rate rose to 32.8% from 20.9%. UEI recorded a $3.9 million valuation allowance against California research-credit deferred tax assets (a $2.6 million after-federal-tax impact) and wrote down about $0.6 million of Chinese deferred tax assets following a tax-law change.
- UEI entered a long-term settlement and license agreement with Logitech. A $2.0 million payment for past royalties was recognized in 2012 net sales; Logitech also agreed to pay royalties under the agreement.
Outlook, risks and contingencies
- Management’s 2013 priorities include developing higher-margin products and technologies, expanding in smart devices and game consoles, growing in Asian and Latin American broadcasting markets, increasing sales to existing customers, and pursuing complementary acquisitions or partnerships. No numeric revenue or earnings guidance is provided.
- Management expected cash balances and operating cash flow to cover anticipated 2013 outlays, while noting that cash location may require temporary borrowing. The business is historically stronger in the second half of the year.
- Key risks include macroeconomic weakness and customer demand, reliance on major customers, pricing and competition, product acceptance and technology changes, component availability, PRC manufacturing and labor conditions, foreign-currency movements, and tax, regulatory, environmental and data-security matters. A stated 10% currency-rate sensitivity scenario estimated first-quarter 2013 net income and cash-flow fluctuations of approximately $5.7 million and $4.0 million, respectively.
- UEI’s patent litigation with Logitech was settled. Litigation against Universal Remote Control continued; a court ruling invalidated four of 24 asserted claims, and UEI said it was assessing an appeal. The filing says potential losses from litigation could not be estimated. A separate seller dispute related to the 2010 Enson acquisition could increase consideration by up to $1.5 million.
- Grant Thornton issued unqualified opinions on the financial statements and internal control over financial reporting; management also concluded disclosure controls were effective.
Investor facts to verify
- Whether sales and earnings trends improved after year-end, and whether growth in subscription broadcasting and consumer lines offset OEM weakness.
- How much of the gross-margin improvement is sustainable apart from the Logitech payment and other licensing revenue, and how pricing pressure and internal production affect margins.
- Whether DIRECTV concentration, foreign-exchange exposure and the substantial cash held abroad create material earnings or liquidity constraints.
- The outcome of the URC litigation and Enson seller dispute, and whether the tax valuation allowance or uncertain tax positions change.
