Material changes and unusual items
- Q3 net income increased 28%, supported by higher product revenue; the nine-month net income declined 25%, chiefly reflecting the $900M upfront CRISPR payment expensed in R&D.
- Under the amended CTX001 agreement, Vertex leads worldwide development, manufacturing and commercialization; from July 1, 2021, CTX001 net profits and losses are allocated 60% to Vertex and 40% to CRISPR. CRISPR may receive a further $200M upon first U.S. or EU marketing approval.
- The nine-month effective tax rate was 15% versus 5% in 2020. The 2021 rate included a $99.7M discrete tax benefit related to the U.K. tax-rate increase; the prior-year period included a $209M benefit tied to an intra-entity IP transfer and other discrete benefits.
- Other income and expense can be volatile due to strategic investment fair-value changes. Nine-month gains related to strategic investments were $5M in 2021 versus $141M in 2020.
Outlook, management commentary and risks

These are management expectations, not assured outcomes.
- Management said COVID-19 had not affected product demand or supply, while noting continued monitoring of the pandemic.
