Business context and reporting period
Vertex Pharmaceuticals Incorporated’s Form 10-K covers the fiscal year ended December 31, 2014; it is an annual report, not a standalone fourth-quarter filing. Vertex discovers, develops, manufactures and commercializes specialty medicines, with its strategy centered on cystic fibrosis (CF). KALYDECO was its principal marketed growth product. The lumacaftor/ivacaftor combination was awaiting regulatory review, while INCIVEK sales were winding down.
Financial results and position
| Metric | FY 2014 | FY 2013 |
|---|---|---|
| Total revenue | $580.4 million | $1,212.0 million |
| Net product revenue | $487.8 million | $837.6 million |
| Operating loss | $692.4 million | $610.0 million |

| Cash used in operating activities | $513.2 million | $51.6 million |
| Cash, cash equivalents and marketable securities at year-end | $1,387.1 million | $1,465.1 million |
- KALYDECO revenue increased 25% to $463.8 million; INCIVEK revenue fell to $24.1 million from $466.4 million. Royalty revenue was $40.9 million, down from $156.6 million, and collaborative revenue was $51.7 million, down from $217.7 million.
- Research and development expense was $855.5 million, down 3%; sales, general and administrative expense was $305.4 million, down 14%. Restructuring expense was $50.9 million. No continuing-operations intangible impairment charge was recorded in 2014; 2013 included a $412.9 million VX-222 impairment.
- Interest expense, net, was $72.9 million, including $60.2 million related to the Boston headquarters leases. Vertex recorded a $36.7 million one-time landlord payment as other income.
- Current assets were $1,546.5 million and current liabilities were $368.3 million. Year-end debt included a $300 million senior secured term loan, reported at $294.8 million carrying value; the construction financing lease obligation was $473.1 million. Contractual commitments and obligations totaled $1,687.6 million, principally long-term leases.
- Cash flow from investing activities was positive $74.0 million, largely reflecting net marketable-security maturities; financing activities provided $497.4 million, including the term loan and employee-plan stock issuance. The filing does not separately report a profit margin.
Material changes versus the prior comparable period
Revenue declined 52% and the net loss attributable to Vertex increased by $293.5 million. The principal revenue declines were from INCIVEK, reduced telaprevir royalties, and lower collaboration revenue; higher KALYDECO sales partially offset them. Operating expenses fell 30%, mainly because 2013 included the VX-222 impairment, alongside lower product, R&D and selling expenses. However, operating cash use increased substantially, from $51.6 million to $513.2 million.
For the fourth quarter of 2014, revenue was $144.6 million and net loss attributable to Vertex was $176.7 million. The comparable fourth-quarter 2013 figures were revenue of $351.2 million and net income attributable to Vertex of $44.3 million; the 2013 quarter included a large Janssen collaboration revenue recognition.
Outlook, management commentary, risks and unusual items
- Management expected 2015 revenue to benefit from further KALYDECO growth and, subject to approval, U.S. sales of lumacaftor/ivacaftor beginning around mid-2015. The FDA review target date was July 5, 2015; significant ex-U.S. combination revenue was not expected in 2015 because of reimbursement discussions. Vertex expected to incur losses in 2015.
- In Phase 3 TRAFFIC and TRANSPORT trials, all four lumacaftor/ivacaftor treatment arms met the primary endpoint. Placebo-adjusted absolute ppFEV1 improvements ranged from 2.6 to 4.0 percentage points; pulmonary exacerbation rates were 28% to 43% lower than placebo. Adverse-event discontinuations were 4.2% with combination treatment versus 1.6% with placebo. Serious adverse events related to abnormal liver tests occurred in seven combination-treated patients versus none on placebo.
- The pending combination application, reimbursement and launch execution were central business risks. Additional risks included clinical-trial outcomes, competition, pricing and payor coverage, reliance on third-party and sole-source supply, and validation of continuous manufacturing for the combination.
- Vertex reported a shareholder class action alleging disclosure violations relating to May 2012. The company considered the claims without merit, intended to defend the case, and had recorded no reserve at year-end. INCIVEK was withdrawn from the U.S. market; the Alios HCV collaboration was terminated in 2014 and presented as discontinued operations.
- The term loan is secured, includes a minimum KALYDECO revenue covenant and restricts certain transactions. Principal repayments were scheduled to begin in October 2015. Vertex said existing liquidity and KALYDECO cash flows were expected to fund operations for at least 12 months.
Important facts for investors to verify

- Operating cash use, R&D spending, term-loan repayments and compliance with the loan’s KALYDECO revenue covenant.
