Vuzix Corporation — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024. Vuzix designs and sells augmented-reality and smart-glasses products, waveguides, display engines, and related engineering services.

| Metric | Q1 2024 | Q1 2023 |
|---|---|---|
| Revenue | $2.00 million | $4.19 million |
| Gross profit (loss) / margin | ($53,253) / (3%) | $876,006 / 21% |
| Operating loss | ($10.09 million) | ($10.85 million) |
| Net loss | ($10.05 million) | ($10.24 million) |

| Cash used in investing activities | ($1.25 million) | ($4.69 million) |
Product sales were $1.83 million, down 56%; engineering-services revenue was $174,794, versus none in the prior-year quarter. Management attributed the product-sales decline primarily to lower M400 unit sales and a lack of smart-glasses revenue. Operating expenses fell 14% to $10.04 million, led by lower general and administrative, research and development, and selling and marketing costs. Lower investment income and increased foreign-exchange losses reduced other income.
Balance sheet and liquidity
- Cash and cash equivalents were $16.50 million at quarter-end, down $10.05 million from December 31, 2023.
- Working capital was $29.20 million, compared with $36.28 million at year-end. Current assets were $32.67 million and current liabilities $3.47 million.
- Total liabilities were $3.84 million, principally lease liabilities and operating payables; the filing reports no borrowings. Operating lease liabilities totaled approximately $875,000.
- Inventory, net, was $9.87 million, including a $5.76 million obsolescence reserve.
- Accumulated deficit was $304.03 million. The company reported no material off-balance-sheet arrangements.
Material developments, outlook, and risks
- Going concern: Recurring losses and cash outflows raise substantial doubt about the company’s ability to continue as a going concern; management’s plans have not fully alleviated that doubt. Management estimates liquidity will fund operations at least through Q2 2025, but notes this depends on execution and there is no assurance.
- Cost actions and financing: Management plans approximately $8 million of 2024 cash operating-expense reductions, at least 20% below 2023 levels, alongside lower development spending, hiring restraint, and reduced discretionary investment. A voluntary payroll-reduction program running May 2024–April 2025 is expected to save about $1.6 million in cash, in exchange for stock awards or options. The company also has an at-the-market offering agreement allowing sales of up to $50 million of common stock; further capital raising or cost cuts may be needed.
- Growth assumptions: Management expects volume manufacturing and sales from its new waveguide plant in 2024 to contribute margin, and is pursuing OEM licensing and supply opportunities. These are forward-looking expectations, not reported results.
- Atomistic: The exclusive technology license currently expires June 30, 2024. Vuzix is negotiating an extension, with no assurance of agreement; failure to agree could terminate the existing license. The company had paid $30 million to Atomistic over the prior two fiscal years and paid the remaining $1 million license commitment in January 2024.
- Customer concentration: One customer accounted for 60% of product revenue; two customers accounted for 68% and 31% of engineering-services revenue. Three customers represented 78% of accounts receivable at quarter-end.
- Controls and other matters: Management concluded disclosure controls were ineffective at March 31, 2024 because of a material weakness previously disclosed in the 2023 Form 10-K. The filing reports no material litigation and no material changes to previously disclosed risk factors.
- Subsequent event: On May 6, 2024, the payroll-reduction program issued 585,345 stock awards and 2,150,008 stock options, subject to vesting and resale rules.
Important facts for investors to verify
- Whether cost reductions and the payroll program deliver the planned cash savings, and how quickly operating cash burn changes.
- Actual cash runway versus management’s estimate through Q2 2025, including any use of the $50 million ATM facility and resulting dilution.
- Whether the Atomistic license is extended before its stated expiration, and the terms and funding implications.
- Whether waveguide production reaches volume and generates the expected OEM revenue and margins.
- Whether revenue recovers from the sharp product-sales decline and customer concentration remains manageable.
- Progress in remediating the disclosed material weakness in disclosure controls.
