Revenue decreased primarily because of the unfavorable translation impact from RMB depreciation against the U.S. dollar. Advertising revenue excluding Alibaba declined 5%, while average spending per advertiser excluding Alibaba increased 38% to US$2,142 as the advertiser count fell from approximately 1.0 million to 0.7 million. Alibaba advertising revenue increased 4% to US$111.6 million.
- Costs and expenses declined 5% to US$1,286.9 million. Cost of revenues declined 7%, sales and marketing declined 3%, and product development declined 20%. General and administrative expense increased 123% to US$117.6 million, partly because 2022 included a US$58.8 million reversal of compensation costs related to an acquired business.
- Interest income was US$118.2 million, while interest expense increased to US$120.1 million, primarily due to the 2027 Loans.
- Investment-related impairment and provision declined to US$23.6 million from US$71.1 million. Net fair-value gains on investments were US$43.0 million in 2023 versus a US$243.6 million loss in 2022, a major driver of the earnings rebound.
- Stock-based compensation was US$101.1 million, compared with US$111.7 million in 2022.
- Total cash, cash equivalents and short-term investments were US$3.226 billion at year-end, including US$2.585 billion of cash and cash equivalents. Consolidated total assets were US$7.280 billion and total liabilities were US$3.763 billion.
- Cash used in investing activities was US$736.8 million, including US$602.7 million invested in long-term investments, US$243.4 million for acquisitions and US$36.8 million of capital expenditures.
- Cash provided by financing activities was US$21.7 million, including US$321.7 million of net proceeds from the 2030 Convertible Notes, offset by US$200.1 million of dividends and US$100.0 million of debt repayment.
Debt, liquidity and capital allocation
- At December 31, 2023, debt included US$800 million of 3.50% senior notes due July 2024, US$750 million of 3.375% senior notes due July 2030, US$330 million of 1.375% convertible notes due December 2030 and approximately US$805 million drawn under the 2027 term and revolving facilities, before applicable accounting adjustments.
- The 2027 facilities comprise a US$900 million term loan and a US$300 million revolving facility, priced at Term SOFR plus 1.28%. The company had repaid US$100 million of the term loan in the fourth quarter of 2023 and was in compliance with applicable financial covenants at year-end.
- Purchase commitments were US$705.5 million and operating lease commitments were US$68.2 million at December 31, 2023.
- Management stated that existing liquidity was sufficient to fund operating activities, capital expenditures and other obligations for at least the next twelve months. This assessment must be considered alongside the US$800 million senior-note maturity in July 2024 and restrictions on moving cash from China.
- Weibo paid a US$0.85 per ordinary share and ADS special dividend totaling US$200.1 million in 2023. In March 2024, the board approved another US$0.82 per ordinary share and ADS special dividend, expected to total approximately US$200 million and be paid in May 2024.
Material changes versus the prior comparable period
- Revenue declined modestly, but operating margin improved because expenses fell faster than revenue.
- Net income attributable to shareholders recovered sharply from 2022, primarily because investment fair-value results improved substantially and investment impairment charges declined.
- Operating cash flow increased 19% despite lower revenue, supported by non-cash charges, working-capital movements and higher income.
- Advertiser concentration shifted toward fewer, higher-spending customers: advertiser count fell 30%, while average spending per advertiser excluding Alibaba rose 38%.
- Weibo acquired control of Xi’an Yunrui Network Technology Co., Ltd. in October 2023 for approximately US$30.4 million, increasing its ownership to 51% and recording US$48.7 million of goodwill.
- Weibo acquired an additional interest in INMYSHOW through a related-party transaction with SINA, resulting in approximately 26.57% ownership and equity-method accounting. The transaction consideration was approximately RMB2.16 billion.
- The WFOE distributed US$406.1 million to Weibo Hong Kong in the fourth quarter, including US$20.5 million of withholding tax. An additional US$23.1 million of withholding tax was accrued on retained earnings expected to be remitted.
- VIE service fees paid to the WFOE declined to US$757.8 million from US$1.076 billion in 2022.
Outlook, management commentary, risks and unusual items
Management did not provide numerical revenue or earnings guidance in the filing. It expects to continue investing in product development, artificial intelligence, recommendation technology, video, live streaming, infrastructure and content, while pursuing additional monetization and possible investments or acquisitions. Advertising demand remains sensitive to macroeconomic conditions, customer budgets, competition and RMB exchange rates. Advertising is seasonal, with spending historically lowest in the first quarter because of the Lunar New Year holiday.
- VIE structure: Weibo has no equity ownership in the principal VIEs and relies on contractual arrangements to control operations and receive economic benefits. The arrangements have not been tested in court and could be affected by changes in PRC law or enforcement.
- PRC regulation: Content censorship, cybersecurity, data privacy, cross-border data transfers, online advertising, live streaming, artificial intelligence, online games, anti-monopoly rules and overseas-listing requirements are evolving and may lead to fines, service restrictions, licensing issues or business disruption.
- Licensing: Weimeng does not currently qualify for an internet audio/video program transmission license and is communicating with regulators regarding an internet publishing permit. Certain online games may face approval or licensing uncertainty.
- Related-party exposure: At year-end, amounts due from SINA totaled US$486.4 million, including approximately US$445.2 million of loans and interest receivable. Alibaba represented 6% of 2023 revenue and 14% of year-end net accounts receivable.
- Controlling shareholder: SINA held approximately 36.1% of ordinary shares and 62.9% of voting power as of March 31, 2024. SINA pledged its Class B shares to secure a loan, creating potential change-of-control risk if SINA defaults.
- Currency risk: RMB depreciation reduced reported revenue and comprehensive income. The company does not use hedging transactions for its principal RMB exposure.
- Investment and valuation risk: Long-term investments totaled US$1.320 billion, including US$1.001 billion of equity-method investments. Future fair-value volatility or impairment could materially affect earnings.
- Tax risk: Weibo Technology’s 15% HNTE preferential tax status expires in 2025 unless renewed. The 2023 effective tax rate for the group was 28.9%, partly reflecting withholding tax on distributions.
- Audit and controls: PwC Zhong Tian LLP gave unqualified opinions on the financial statements and internal control over financial reporting. Management concluded controls were effective, and the company reported no material cybersecurity incident as of the filing date.
- Litigation: The GeoSolutions litigation was dismissed in favor of Weibo without further leave to amend in October 2023, and the plaintiffs did not appeal. The filing states that remaining proceedings were not reasonably likely to have a material adverse effect, although losses for many matters cannot be estimated.
Important facts for investors to verify
- Confirm the July 2024 maturity and refinancing or repayment status of the US$800 million senior notes.
- Assess whether the improved 2023 profit was recurring or primarily driven by investment fair-value gains, lower impairment charges and year-over-year comparisons with weak 2022 results.
- Monitor advertiser count, average advertiser spending, advertising revenue in RMB and the effect of further customer concentration.
- Review cash availability by legal entity and jurisdiction, including the ability to transfer cash from PRC entities and VIEs to offshore entities.
- Evaluate the enforceability and regulatory status of the VIE arrangements, outstanding licenses and any future PRC cybersecurity or data-transfer requirements.
- Track SINA’s pledged Class B shares, related-party loans and any potential change-of-control or convertible-note repurchase consequences.
- Assess investment valuation, particularly the carrying values of private investments and INMYSHOW, and the potential for additional impairment charges.
- Consider PFIC implications for U.S. investors; the filing states that Weibo was likely a PFIC for 2023 and may remain one in future years.
