Financial performance
| Metric | Q3 FY2022 | Q3 FY2021 | Nine months FY2022 | Nine months FY2021 |
|---|---|---|---|---|
| Revenue | $1,961.4 million | $1,543.1 million | $5,795.5 million | $4,533.0 million |
| Operating profit (loss) | $88.7 million | $(9.4) million | $269.7 million | $150.6 million |
| Net income (loss) | $56.8 million | $(13.7) million | $181.6 million | $92.0 million |
| Diluted EPS | $0.85 | $(0.20) | $2.68 | $1.36 |
| Gross margin | 13.5% | 16.5% | 13.7% | 15.9% |
- Q3 revenue rose 27.1%; nine-month revenue rose 27.9%. Growth reflected Able acquisition contributions and organic growth from recovering activity and new business. Pandemic-related, higher-margin work orders declined.
- Q3 operating profit improved by $98.1 million versus the prior-year loss. The comparison benefited substantially from the absence of the prior-year Bucio litigation charge and ERP-related software impairment. For nine months, operating profit increased 79.1%.
- Margins weakened despite higher revenue. Management cited labor cost and availability pressures, lower pandemic-related work, Able-related contract mix, and acquired-intangible amortization. Education was a particular pressure: nine-month operating profit fell 27.4%.
- Q3 interest expense was $11.1 million, versus $6.3 million; the nine-month amount was $25.2 million, versus $22.6 million. Higher debt and reference rates contributed. Effective tax rates were 27.5% for Q3 and 26.3% for nine months.
Cash flow, debt, and liquidity
- Nine-month operating cash flow was negative $96.7 million, compared with positive $258.8 million a year earlier. The company attributed the change to the $143.8 million Bucio settlement payment, $66 million in deferred payroll taxes paid, and timing of receivable collections and vendor payments.
- Investing cash outflow was $93.3 million, including $56.7 million for business acquisitions and $37.7 million of capital expenditures. Financing cash inflow was $194.2 million. Cash at July 31 was $63.9 million.
- Facility borrowings were approximately $1.2 billion; the weighted-average borrowing rate was 3.64%. Reported borrowing capacity was $705.1 million. The company was in compliance with credit covenants. Its secured credit facility matures in 2026; $938.8 million of principal maturities are scheduled for 2026.
- Management said operating cash flow and available borrowing capacity were sufficient for anticipated cash requirements over the next 12 months. The company paid $39.0 million in dividends and repurchased $74.5 million of shares during the nine months.
Material changes, outlook, and risks
- Able contributed $286.9 million of Q3 revenue and $9.2 million of Q3 operating profit. Momentum, acquired in April 2022, contributed $17.9 million of Q3 revenue and $1.1 million of operating profit.
- During the nine months, ABM reduced prior-year insurance claim reserves by $36.1 million after an actuarial review, primarily reflecting improved workers’ compensation claim development. Future reserve adjustments remain possible.
- The Bucio settlement was approved and paid: ABM paid $143.8 million in April 2022. At July 31, probable litigation losses accrued totaled $29.9 million; estimated reasonably possible losses were $0–$5 million. The filing cautions that actual exposure could exceed these estimates.
- ABM’s ELEVATE strategy anticipates $150–$175 million of investment over four years in client and employee experience, technology, and data capabilities. The filing provides no specific earnings or revenue guidance.
- On September 1, 2022, after quarter-end, ABM completed its RavenVolt acquisition for approximately $170 million in cash, funded with revolver borrowings. Up to $280 million of additional contingent consideration may be payable based on future financial targets.
- Risks include labor availability and costs, client retention and competitive pressures, integration and realization of acquisition benefits, self-insurance reserve variability, litigation, interest-rate exposure, COVID-19 uncertainty, and execution of technology and ELEVATE initiatives. Management reported effective disclosure controls; it continues to integrate acquired businesses and update financial systems.
