Liquidity, debt and capital allocation

  • Cash and cash equivalents were $377.6 million at year-end, including $352.8 million held outside the United States. Current assets were $1,578.6 million and current liabilities were $936.1 million.
  • Total debt was $1,714.0 million, up from $1,415.1 million; net debt was $1,336.4 million. Debt-to-capital was 34.6%, compared with 31.1%; net debt-to-capital was 29.2%, compared with 26.3%.
  • AMETEK reported $771.2 million of available revolving-credit borrowing capacity, including the accordion feature, and stated it was in compliance with debt covenants. The company said it expected cash generation, credit facilities and capital-market access to meet foreseeable needs.
  • Operating cash flow funded $71.3 million of capital expenditures and $573.6 million of net cash acquisition spending. The company repurchased approximately 4.755 million shares for $245.3 million and paid $80.6 million in dividends. The quarterly dividend was raised 50%, from $0.06 to $0.09 per share.

Material changes, unusual items and outlook

  • Five 2014 acquisitions—Teseq, VTI Instruments, Luphos, Zygo and Amptek—were funded for $573.6 million net of cash acquired. Acquisitions contributed significantly to sales growth; management attributed approximately 9% of total sales growth to acquisitions and approximately 3% to internal growth.
  • Segment operating margin declined to 23.6% from 24.0%, chiefly reflecting $18.9 million of Zygo integration costs, including severance, an inventory fair-value adjustment and other costs. EIG margins also compared against a $11.6 million facility-sale gain in 2013.
  • FY 2014 included an $8.0 million insurance-policy gain in other expenses and a $5.5 million reversal of an insurance-policy receivable tied to an acquired entity’s uncertain tax position. The effective tax rate fell to 27.4% from 28.7%; 2014 included a $12.9 million release of uncertain tax liabilities and a foreign-tax-credit benefit.
  • Management expected the full-year impact of 2014 acquisitions and continued Operational Excellence initiatives to benefit 2015 results, while a stronger U.S. dollar was expected to be a headwind. 2015 capital expenditures were projected at approximately 1.7% of sales. The filing states a long-term objective of double-digit annual EPS growth over the business cycle; it does not provide a specific 2015 EPS forecast.
  • Goodwill and other intangible assets totaled $4,239.6 million, about 66% of total assets. Annual impairment testing found no impairment; management reported reporting-unit fair values remained above carrying values under a hypothetical 10% decline.

Risks and contingencies

  • Key disclosed risks include economic and end-market cyclicality, acquisition integration and financing, execution of cost-reduction initiatives, foreign-currency exposure, international operations and export-law compliance, competition, skilled-labor availability, raw-material supply and pricing, product liability, environmental obligations, debt covenants and business or IT disruption.
  • Environmental reserves were $26.6 million at year-end, compared with $21.9 million in 2013. AMETEK was a potentially responsible party at 14 non-owned sites; management said recorded reserves were adequate and expected the matters would not materially affect results or financial position.
  • Defined-benefit pension plans had a combined funded-status liability of $30.2 million at year-end, versus a net asset of $70.0 million in 2013. The company contributed $50.0 million to U.S. pension plans in January 2015 and estimated total 2015 contributions of $54–$57 million.
  • Gross unrecognized tax benefits were $71.7 million at year-end, of which $61.1 million would affect the effective tax rate if recognized. The filing describes ongoing tax examinations and says settlement timing for uncertain tax positions cannot be reasonably estimated.

Investor verification priorities

  • Separate organic growth from acquisition and currency effects, and assess whether acquired businesses deliver expected integration benefits and margins.
  • Review the causes and persistence of lower consolidated and EIG operating margins, including Zygo integration costs and higher acquisition-related selling expenses.
  • Track debt and interest costs, scheduled maturities, covenant headroom, and remaining funding dates for the $700 million senior-note placement.
  • Assess cash availability and use, including substantial cash held abroad, acquisition spending, share repurchases and pension contributions.
  • Monitor goodwill and intangible-asset concentration, pension assumptions and funding, uncertain tax positions, and environmental reserves and recoveries.
  • Confirm whether the anticipated 2015 acquisition and operational-efficiency benefits offset the stronger-dollar headwind; the filing provides qualitative commentary rather than quantified EPS guidance.
