Consolidated expenses were $1,496.6 million, down 11%. Compensation expense declined 15% and selling, general and administrative expense declined 7%, partly offsetting lower revenue. Interest expense increased 8% to $123.8 million, primarily because of higher rates on the term loan. The controlling-interest effective tax rate was 20.9%, compared with 23.3% in 2022.
Cash flow from operating activities was $874.3 million, compared with $1,054.7 million in 2022. Investing cash flow was positive $264.5 million, including $294.0 million of proceeds from the Veritable sale and $277.4 million of net maturities and sales of investment securities, partly offset by $294.7 million of investments in Affiliates. Financing cash flow was negative $758.3 million, including $341.9 million of net common-stock repurchases and $271.3 million of distributions to non-controlling interests.
Cash and cash equivalents were $813.6 million at year-end, compared with $429.2 million in 2022. Debt was $2.54 billion on the balance sheet, while management described total outstanding debt as approximately $2.6 billion. The Company had no revolver borrowings, a 1.3x bank leverage ratio, and an 8.3x interest-coverage ratio, and was in compliance with its credit facility covenants. The Company maintained investment-grade ratings of A3 from Moody’s and BBB+ from S&P.
Material Changes Versus the Prior Comparable Period
- AUM increased because market changes, foreign exchange, and new investments more than offset net client outflows and the Veritable disposition. Alternatives generated $9.3 billion of net client inflows, while global equities had $26.3 billion of net outflows and U.S. equities had $12.9 billion of net outflows.
- Aggregate fees declined primarily because average AUM fell and the BPEA transaction reduced the asset base. Performance-based fees also declined, particularly in liquid alternatives.
- The Company completed the sale of Veritable in the third quarter for $287.4 million of net cash proceeds and recorded a $133.1 million gain.
- In the third quarter, AMG invested in Forbion Group Holding B.V.; in the fourth quarter, it made a minority investment in Ara Partners Group, LLC. Both are private-markets businesses.
- The 2022 results included a $641.9 million gain from the BPEA transaction, making the year-over-year decline in reported net income and EPS unusually large.
- Equity method income declined 17% to $280.0 million. Equity method intangible impairments declined to $9.6 million from $50.0 million in 2022.
- AMG repurchased 3.0 million shares in 2023 at an average price of $132.99, leaving approximately 4.2 million shares available under its repurchase authorizations.
Guidance, Outlook, Commentary, Risks and Unusual Items
Management expects continued demand for alternatives, private markets, sustainable investing, wealth management, Asia-focused strategies, and other differentiated offerings. It believes independent investment firms will continue to seek partnership, growth-capital, and succession solutions. No quantitative earnings or revenue guidance is provided in the filing.
Management expects current cash, operating cash flow, marketable-security proceeds, and available revolver capacity to support foreseeable cash needs. It expects approximately $100 million of net Affiliate equity purchases in 2024. The $400.0 million of 4.25% senior notes due February 2024 matured and were fully repaid on February 15, 2024.
Material commitments included $447.3 million of current redemption value for Affiliate equity interests, $187.2 million of unfunded general-partner and seed-capital commitments, $59.8 million of deferred payments related to equity-method Affiliates payable in 2024, and up to $237.1 million of contingent payments tied to specified financial targets at equity-method Affiliates. The Company also agreed to provide up to $50.0 million of contingent financing to one equity-method Affiliate.
Principal risks include market-driven changes in AUM and fee levels, client withdrawals and short-term contract termination rights, investment performance, performance-fee volatility, competition and fee compression, execution of Affiliate investments, key-person dependence, regulatory and tax changes, cybersecurity and operational failures, foreign-exchange exposure, leverage and covenant compliance, and impairment of goodwill, acquired client relationships, or equity-method investments. The filing identifies impairment assessment for certain equity-method investments as a critical audit matter.
As of the filing date, management stated that cybersecurity threats had not materially affected AMG and were not reasonably likely to materially affect its strategy, results, or financial condition. The Company reported no pending legal or regulatory proceedings expected to have a material adverse effect, although ordinary-course matters and future developments remain possible.
Important Facts for Investors to Verify
- Reconcile reported net income and EPS with recurring measures such as Adjusted EBITDA, Economic net income, and Economic EPS, particularly because 2022 included the large BPEA transaction gain and 2023 included the Veritable gain.
- Monitor net client flows, average AUM, strategy mix, and fee rates, especially continued alternatives inflows and equity-strategy outflows.
- Review the maturity, refinancing, and potential redemption decisions for the Company’s senior and junior subordinated debt, including the term loan and fixed-rate securities.
- Assess cash requirements for Affiliate equity purchases, unfunded commitments, deferred payments, contingent payments, and new Affiliate investments.
- Evaluate the sensitivity of revenue to markets: a proportional 1% change in AUM was estimated to change annualized asset-based fees by approximately $16.3 million for consolidated Affiliates and $14.8 million for equity-method Affiliates.
- Review valuation assumptions and impairment risk for the $2.29 billion of equity-method investments and approximately $4.34 billion of goodwill and acquired client relationships.
- Confirm the sustainability and capital-allocation implications of ongoing share repurchases, the $500 million equity distribution program, and the Company’s stated intention to settle Affiliate equity obligations without issuing shares where permitted.
