Affiliated Managers Group, Inc. — Fiscal 2022 Form 10-K Summary
Business context and reporting period
AMG is a global partner to independent investment management firms. It invests in consolidated and equity-method Affiliates while providing growth capital, distribution, product development, and succession-planning support. Although the request references “2022 Q4,” this is an annual Form 10-K rather than a quarterly filing.
- Assets under management declined to $650.8 billion from $813.8 billion, driven primarily by market declines, net client outflows, foreign exchange, and the BPEA divestiture.
- AMG had approximately 3,950 employees, including approximately 250 AMG employees, as of year-end.
- The company operates as one reportable segment: global investment management.

Guidance, outlook, commentary, risks, and unusual items
Management did not provide a specific earnings or AUM forecast in the filing. AMG expects continued investment in new and existing Affiliates, private markets, liquid alternatives, Asia, wealth management, and sustainable investing. Management also expects independent investment firms to continue seeking partnership, growth, and succession solutions.
- Results remain highly sensitive to market levels, investment performance, client cash flows, fee rates, product mix, foreign exchange, and performance-based fees.
- Many investment-management contracts can be terminated on short notice, typically no longer than 60 days, creating client-retention and AUM risk.
- Competition from passive products, larger financial institutions, private-equity firms, and other investment managers may pressure fees, flows, and acquisition opportunities.
- AMG has significant intangible assets: approximately $4.5 billion of total assets were intangibles at year-end, and equity-method investments were $2.1 billion. Impairment testing depends on judgment regarding AUM growth, client attrition, fee rates, margins, and discount rates.
- The company recorded a $50.0 million impairment of an equity-method Affiliate in 2022. The audit identified impairment measurement for an equity-method investment as a critical audit matter.
- Current redemption value of Affiliate equity interests was $489.9 million, including $465.4 million in redeemable non-controlling interests and $24.5 million in other liabilities.
- Unfunded commitments to co-invest in Affiliate-sponsored investment products were $158.3 million. Additional deferred and contingent payment obligations could become payable in future periods.
- Key risks include regulatory changes, cybersecurity and data privacy incidents, litigation, tax examinations, international and currency exposure, loss of key personnel, operational autonomy of Affiliates, and potential covenant or refinancing risk.
- There were no legal proceedings that management believed would have a material adverse effect on financial position, liquidity, or results of operations as of the filing date.
- Management and PwC concluded that internal control over financial reporting and disclosure controls were effective; PwC issued unqualified opinions.
Important facts for investors to verify
- Separate recurring operating performance from the non-recurring BPEA transaction gain when evaluating 2022 earnings.
- Reconcile GAAP net income and EPS with Adjusted EBITDA, Economic net income, and other non-GAAP measures.
- Monitor AUM trends, net client flows, performance-based fee realization, and the mix between consolidated and equity-method Affiliates.
- Review cash usage, the December 2022 accelerated share repurchase agreement, remaining repurchase authorization, and expected 2023 Affiliate-equity purchases.
- Assess debt maturities, variable-rate exposure, credit-facility covenants, and the impact of higher interest rates.
- Evaluate the sensitivity of goodwill, acquired client relationships, and equity-method investments to additional impairment.
- Review unfunded commitments, contingent payments, redeemable Affiliate equity, and the potential use of cash or shares to settle those obligations.
- Confirm post-year-end sales of EQT shares, which totaled $196.0 million between January 1 and February 15, 2023, and assess the remaining EQT exposure.
