Amounts are rounded; the filing reports financial statement amounts in thousands. Revenue increased about 0.8% in Q3 and 2.1% for the nine-month period, while net income declined about 20% and 6%, respectively. The Q3 decline reflected higher operating expenses and lower gains on property sales than in the prior-year quarter. Nine-month expenses included $17.8 million of real estate impairments, versus $4.6 million a year earlier. FFO and same-property NOI increased in both comparisons.

Rental income for the nine months rose $18.5 million year over year, chiefly from base rent and expense reimbursements at properties held throughout both periods; net transaction activity and lower recovery of previously reserved tenant amounts partly offset growth. Same-property NOI increased 4.8% for Q3 and 4.2% for the nine months. At September 30, billed occupancy was 90.0% and leased occupancy was 93.9%, compared with 89.7% and 93.4% one year earlier. Nine-month comparable leasing rent spreads were 15.2% across new, renewal, and option leases; new and renewal leases alone had a 19.2% spread.

Cash flow, debt, and liquidity

  • Nine-month operating cash flow was $453.5 million, up from $441.2 million. Investing used $93.0 million, compared with $474.5 million in 2022, principally because the prior year included substantially more acquisitions. Financing used $363.1 million, compared with $233.2 million.
  • Real estate improvements and investments totaled $254.4 million for the nine months. Cash, cash equivalents, and restricted cash totaled $18.7 million at September 30; unrestricted cash alone was $0.9 million.
  • Net debt obligations were $4.92 billion, down from $5.04 billion at December 31, 2022. The company reported $1.26 billion of available liquidity, including $1.24 billion under its revolving facility. It was in compliance with debt covenants.
  • The next scheduled principal maturity was $300.4 million of 2024 notes. The company repurchased $199.6 million of those notes in April using a $200 million delayed-draw term loan and recognized a $4.4 million gain on extinguishment. Debt fair value was reported below carrying value: $4.47 billion versus $4.92 billion.

Outlook, risks, and notable items

Management stated that expected operating cash flow, available credit, dispositions, and other capital sources should provide adequate funding for anticipated needs over the next 12 months and beyond. This is a liquidity assessment, not quantified earnings guidance; the filing provides no clear numerical full-year earnings or FFO outlook. The company had 55 active anchor-space repositioning, redevelopment, and outparcel projects with anticipated total cost of $490.7 million, of which $263.6 million had been incurred; it identified a future redevelopment pipeline exceeding $900 million.

The board declared a fourth-quarter 2023 dividend of $0.2725 per share, up from $0.26 for Q3. Management cited inflation and rising interest rates as risks; lease escalations and tenant expense reimbursements provide some mitigation, but certain property and corporate costs are not fully recoverable. Other stated risks include tenant financial health, occupancy and leasing demand, competition and e-commerce, property expenses, and weather or other casualty events. The filing reported no material change to previously disclosed risk factors, no material outside-the-ordinary-course litigation, and no material subsequent events through issuance. Management said disclosure controls were effective.

Important facts for investors to verify

  • Whether leasing spreads and improved occupancy translate into durable rent and same-property NOI growth, and whether tenant collections remain sound.
  • How the $300.4 million 2024 notes maturity will be refinanced or repaid, and the cost and availability of credit amid interest-rate risk.
  • Whether redevelopment commitments, including the active project spend and larger future pipeline, remain within expected budgets and produce targeted returns.
  • How much reported earnings and cash generation depend on property sales, impairments, and other items; compare GAAP results with supplemental FFO and NOI measures.
  • Whether the declared dividend and required REIT distributions remain supported by recurring cash flow after debt service and capital expenditures.
