Material changes versus comparable periods
- Q2 investment income increased 38% year over year, primarily reflecting a larger investment portfolio. Six-month investment income rose 40%, with portfolio growth partly offset by lower weighted-average yields and lower prepayment-related income.
- Q2 net investment income increased, but net gains from operations fell as a $28.0 million unrealized depreciation replaced $41.9 million of unrealized appreciation in Q2 2021. For the first half, unrealized depreciation was $29.4 million versus $74.0 million of appreciation a year earlier.
- Interest expense rose to $45.1 million in Q2 and $85.4 million for the first half, mainly because average debt outstanding increased substantially. Average principal debt was $5.76 billion in Q2 versus $3.45 billion a year earlier.
- The six-month portfolio turnover rate was 3.48%, compared with 14.52% in 2021. First-half distributions declared increased to $1.51 per share from $1.00.
- Debt carrying value increased from $5.50 billion at year-end 2021 to $5.79 billion at June 30, 2022. The company expanded its revolving credit facility commitment to $1.625 billion in June.
Outlook, commentary, risks and unusual items
- The filing provides no earnings or investment-return guidance. Management expects investment income to vary with originations, repayments and other portfolio activity, and says rate increases may support income, all else equal, but can also weaken borrowers.
- Inflation, supply-chain and labor-market pressures, COVID-19 developments, geopolitical events and rising interest rates are identified as risks to portfolio-company margins, liquidity and repayment capacity.
- PIK interest was $10.8 million in Q2 and $19.5 million in the first half, materially above the prior-year amounts. PIK is accrued but not received in cash, and the filing notes that RIC distribution requirements can require distributions of income not yet collected.
- Most investments are privately held and valued using significant judgment; $9.82 billion of investments were Level 3 at quarter-end. Management cautions that fair values may differ materially from realizable sale proceeds, particularly in a forced sale.
- Interest-rate sensitivity analysis estimates that a 100-basis-point increase would raise annualized net income by $73.3 million before income-based incentive fees, while a 100-basis-point decrease would reduce it by $72.1 million, assuming no change in the investment or borrowing structure.
- The Adviser waived $6.5 million of management fees and $3.0 million of income-based incentive fees in Q2; the waivers are voluntary and not recoupable. The filing reports no material pending or threatened litigation and no defaults on senior securities.
- After quarter-end, the company declared a $0.53-per-share distribution payable November 14, 2022. It also reported repurchasing approximately 2.95 million shares for $68.9 million after June 30 under its repurchase plan.
Important facts for investors to verify

- Whether floating-rate income gains offset higher financing costs and any deterioration in borrowers’ ability to service debt.
- The cash demands and funding capacity associated with $1.07 billion of unfunded portfolio commitments, alongside available revolver capacity and asset-coverage headroom.
- The sustainability and cash coverage of distributions, including the extent to which income consists of non-cash PIK and special distributions.
- Share repurchase activity, market price relative to NAV, and the effect of repurchases and distributions on NAV per share and liquidity.
