Changes and drivers
- Management attributed organic revenue growth to pricing initiatives; acquisitions contributed $12.0 million of quarterly revenue growth and $31.6 million over nine months. Nine-month organic sales rose 17.1%.
- Quarterly gross margin improved by 0.8 percentage points and operating margin by 3.6 points. Management cited pricing, lower shipping-container costs and operating-expense growth below revenue growth. Nine-month margin comparisons also benefited from prior-year TRUaire purchase-accounting and Vietnam COVID-related costs that did not recur.
- Contractor Solutions led growth: quarterly revenue was $111.9 million and operating margin 19.5%, versus 13.7% a year earlier. Engineered Building Solutions’ quarterly operating margin fell to 9.2% from 13.4%, reflecting a shift toward lower-margin projects. Specialized Reliability Solutions’ nine-month operating margin rose to 12.5% from 6.2%, supported by pricing, volume and operating leverage.
- Acquisitions during the period included Cover Guard and AC Guard in July and Falcon Stainless in October. All three were included in Contractor Solutions from their acquisition dates.
Outlook, risks and unusual items
- No specific revenue, earnings or margin guidance was provided. Management expects to maintain a strong fiscal 2023 balance sheet and fund growth through cash, operating cash flow and credit availability. Capital priorities include organic investment, selective acquisitions and shareholder returns.
- Interest costs rose with higher rates and increased borrowing. The company had $267.2 million of variable-rate debt at period-end; management estimated each 0.25-point rate change would alter annual interest expense by about $0.7 million. The interest-rate swap was terminated in January 2023, and the Whitmore term loan was paid off using revolver borrowings.
- A $0.5 million Canadian pension-plan termination charge was recorded in the period. A $1.5 million release of uncertain tax position accruals benefited quarterly income taxes; the quarter’s effective tax rate was 14.7%, versus 19.7% a year earlier.
- Management said COVID-19 impacts on current-period results were immaterial and did not expect the Russia-Ukraine conflict to have a material current impact, while noting that worsening global disruption could affect results. Other identified risks include inflation, supply-chain and transportation challenges, demand changes, acquisitions and rising interest rates.
- Management reported no pending legal matters expected to materially affect the company and no material changes to previously disclosed risk factors. Disclosure controls were assessed as effective.
Investor verification priorities
- Confirm organic growth, pricing and volume trends separately from acquisition contributions, particularly as acquisition comparisons change.
- Track margins by segment, including the recovery or persistence of lower-margin project mix in Engineered Building Solutions.
- Review inventory levels, working-capital conversion and operating cash flow relative to earnings.
- Assess debt, variable-rate exposure and interest expense following the swap termination and term-loan payoff.
- Monitor acquisition integration, purchase-price allocations, contingent payments and goodwill/intangible balances.
- Follow the Canadian tax audit and remaining $7.5 million TRUaire tax indemnification asset, which management said would be settled or expire by December 2023.
