Material changes and segment results
- Revenue increased $131.5 million year over year. Management attributed $35.9 million, or 5.7 percentage points, to acquisitions and $95.6 million, or 15.3%, to organic growth, primarily from pricing initiatives. Revenue rose across all reported end markets.
- Contractor Solutions revenue was $513.8 million, up 23.4%; operating income was $126.2 million and margin 24.6%, versus 23.1%. Organic sales grew 14.8%, primarily from pricing, partly offset by slightly lower unit volumes.
- Engineered Building Solutions revenue was $104.0 million, up 6.9%; operating income was $12.9 million and margin 12.4%, versus 11.4%. Growth reflected commercial activity, market-share retention and pricing.
- Specialized Reliability Solutions revenue was $147.4 million, up 27.1%; operating income rose to $20.2 million from $9.0 million, and margin increased to 13.7% from 7.8%. Management cited higher volumes, pricing and operating leverage.
- Acquisitions included Falcon Stainless for $37.1 million and Cover Guard/AC Guard and related intellectual property for approximately $22.1 million. Falcon and the Cover Guard businesses were included in Contractor Solutions from their respective acquisition dates.
Outlook, risks and unusual items
Management expects fiscal 2024 sales to grow across all three segments and profitability to grow faster than sales, supported by execution and operational efficiency. It expects to maintain a strong balance sheet and continue investing in organic growth, acquisitions, facilities and continuous improvement. The outlook is qualitative; the filing provides no specific revenue, earnings or margin targets.
Key risks include economic and end-market cyclicality, inflation and the ability to pass through costs, supply-chain and labor constraints, distributor dependence, international and currency exposure, cybersecurity, climate and regulatory changes, and acquisition integration and impairment risk. The company highlighted that inflation could affect customer behavior in calendar 2023. It reported no material expected legal proceedings and said the Russia-Ukraine conflict was not then expected to have a material direct impact, while noting uncertainty if conditions worsened.
Notable items include $3.9 million of prior-year TRUaire purchase-accounting costs and $1.7 million of prior-year Vietnam COVID-related costs that did not recur, contributing to improved comparisons. The effective tax rate declined to 23.3% from 26.4%; the company released a $1.6 million tax reserve following the conclusion of a Vietnam audit and recorded additional tax contingency reserves. A $7.5 million TRUaire tax indemnification asset remained outstanding and was due to be settled or expire by December 15, 2023. Falcon’s purchase-price allocation remained preliminary; its customer-list valuation was identified as a critical audit matter. No goodwill impairment was recorded.
After year-end, the company raised its quarterly dividend to $0.19 per share. A new $100 million repurchase authorization, expiring December 31, 2024, had no repurchases through March 31, 2023.
Investor verification priorities
- Assess the durability of organic growth and pricing benefits, particularly alongside the slight unit-volume decline in Contractor Solutions and rising input costs.
- Review acquisition integration, returns and the final purchase-price allocations for Falcon and other recent acquisitions, including customer-list valuation assumptions and contingent payments.
- Monitor debt costs, the unhedged variable-rate balance, covenant headroom and liquidity as acquisition and shareholder-return spending continue.
- Track inventory levels and working-capital conversion; inventory remained the largest operating cash use in FY2023.
- Follow resolution of the outstanding TRUaire tax indemnification asset and other uncertain tax positions, and compare subsequent results with management’s fiscal 2024 outlook.
