Products revenue fell 27% to $59.2 million, largely reflecting lower digital cinema shipments and prices; services revenue was essentially flat at $22.1 million. Operating expenses rose 8.6% to $616.3 million, including higher R&D, sales and marketing, and general and administrative spending. The effective tax rate was 24.4%, compared with 24.1%.
At year-end, cash and cash equivalents were $568.5 million and short- and long-term investments totaled $527.5 million. Working capital was $816.5 million. The company reported no long-term debt. Total liabilities were $252.4 million and total assets were $2.0 billion.
Material changes versus the prior comparable period
- Revenue grew 5.5%, led by licensing revenue, up 9% to $878.8 million. Licensing benefited from higher broadcast and mobile activity, settlements and back royalties, and gaming-console shipments.
- Broadcast licensing rose as TV and set-top-box shipments increased; PC licensing declined amid the Windows 8 business-model transition and a weaker PC market. Mobile licensing increased, but Samsung’s Galaxy S5 omitted Dolby Digital Plus, creating a stated risk to fiscal 2015 mobile revenue.
- Licensing gross margin improved to 99%, partly due to a $4.7 million release of a previously accrued revenue-sharing liability. Product gross margin increased to 24% from 20%, but product revenue continued to contract.
- Operating cash flow improved with higher cash collections. Investing cash flow was negative $204.9 million, including $78.7 million of capital expenditures and $38.0 million for patents and developed technology. Financing cash outflow declined substantially because FY2013 included a $408.2 million special dividend.
- Cash and investments increased to approximately $1.096 billion from $901.0 million. About $417 million, or 38% of cash, cash equivalents, and investments, was held by foreign subsidiaries.
Outlook, risks, contingencies, and unusual items
Management said liquidity should cover anticipated cash needs for at least 12 months, but provided no quantified revenue or earnings guidance. Growth priorities include expanding Dolby Atmos, Dolby Voice, and Dolby Vision, and pursuing adoption in broadcast and mobile markets. Dolby Atmos had more than 700 screens installed or committed and 180 titles released or announced by fiscal year-end.
- On October 31, 2014, after year-end, Dolby completed its Doremi Labs acquisition for $92.5 million cash, plus up to $20.0 million in contingent consideration over four years. Purchase-price allocation was not yet finalized.
- After year-end, the company announced a $0.10-per-share quarterly dividend and increased its repurchase authorization by $200 million. These actions were subsequent events, not FY2014 cash distributions.
- Key business risks include expiration of Dolby Digital patents, reliance on licensees and accurate royalty reporting, mobile and PC market changes, declining optical-disc demand, competition and pricing pressure, and the mature digital-cinema market. Samsung represented 11% of FY2014 revenue.
- Regulators in South Korea and China had initiated competition-law reviews and requested information. Dolby said it was cooperating; the filing does not quantify any potential financial exposure.
- Unrecognized tax benefits and related interest and penalties totaled approximately $31.4 million net of related deferred tax assets. The company estimated that repatriation of approximately $322.4 million of indefinitely reinvested foreign earnings could entail about $78.1 million in taxes and withholding taxes.
- Contractual commitments totaled $246.9 million, including $149.0 million for naming rights, $79.6 million for operating leases, and $11.3 million in purchase obligations. The filing says pending legal matters were not expected to have a material adverse impact, while noting outcomes are uncertain.
