- Net debt was $2.193 billion, and net debt to net capitalization increased to 36.9% from 27.4%, primarily because of the Knowles separation, share repurchases, dividends, acquisitions, and lower cash.
- Dover maintained a $1.0 billion unsecured revolving credit facility expiring November 10, 2016. No borrowings were outstanding under the facility, and management reported compliance with debt covenants, including a 12.5-to-1 interest coverage ratio versus a 3.0-to-1 minimum.

Material Changes and Unusual Items
- Discontinued operations reported a $16.2 million net loss in Q1 2014 versus $42.8 million of net earnings in Q1 2013. Q1 2014 included $25.8 million of Knowles spin-off costs; total spin-off costs incurred by Dover were $55.9 million.

- Other expense included $2.6 million of net foreign-exchange losses, partially offset by a $2.1 million insurance settlement. The prior-year period included a $6.8 million gain on the sale of land in Switzerland.

Guidance, Outlook, and Risks
Management continued to expect full-year 2014 organic revenue growth of 3.0% to 4.0%, acquisition growth of approximately 3.0%, total revenue growth of 6.0% to 7.0%, segment margin of approximately 18.0%, and diluted EPS of $4.60 to $4.80. Management expected continued strength in Energy, Engineered Systems, and Fluids, with improved seasonal performance in Refrigeration & Food Equipment during the second and third quarters.
Key risks include global economic and credit-market conditions, commodity costs, currency movements, competition and pricing pressure, customer demand and concentration, supply-chain disruptions, acquisition integration, achievement of cost savings, litigation and environmental contingencies, tax audits, regulatory changes, intellectual-property matters, credit-rating changes, and the timing and terms of the remaining discontinued-operation business sale. Management intended to complete that sale in the second quarter of 2014.
Investor Verification Checklist
- Verify the effect of the Knowles spin-off on future revenue, earnings, cash flow, leverage, tax obligations, and comparability of reported periods.
- Assess whether the $4.60 to $4.80 full-year EPS outlook remains supported by organic growth, segment margins, acquisitions, and seasonality.
- Monitor cash conversion, working-capital requirements, capital expenditures, and the decline in first-quarter free cash flow.
- Review leverage and refinancing exposure, particularly the 2015 maturity, commercial paper usage, and the increase in net debt to net capitalization.
- Evaluate acquisition execution and integration risks associated with the two Printing & Identification acquisitions.
- Track restructuring spending, the remaining held-for-sale business, and potential tax, legal, environmental, warranty, and foreign-exchange exposures.
