  • Reported sales grew 8% in both periods; organic sales grew 7% in Q3 and 9% year to date. Q3 organic growth was entirely price-led overall, with flat volume.
  • Q3 adjusted diluted EPS was $1.54, up 18%; adjusted net income was $442M, up 19%. These are non-GAAP measures and exclude special charges and discrete tax items.
  • Q3 adjusted gross margin was 41.3%, versus 37.7%, reflecting strong pricing and slightly lower delivered product costs. SG&A was 25.9% of sales, up from 23.9%, as investments and incentive compensation offset sales leverage and cost savings.
  • Q3 organic sales increased 4% in Global Industrial, 11% in Global Institutional & Specialty, 11% in Global Healthcare & Life Sciences, and 8% in Other. Industrial’s expected Paper decline and Healthcare & Life Sciences’ lower year-to-date volume were notable offsets to broader growth.

Cash flow, debt and liquidity

  • Operating cash flow for the first nine months was $1.559B, up $630M year over year, primarily from improved working capital and higher net income. Capital expenditures were $512M; investing cash use was $642M.
  • Cash and equivalents were $1.001B at September 30, 2023, including $585M held outside the U.S. Total debt was approximately $8.6B; net debt was $7.615B and net debt/EBITDA was 2.8x, down from 3.2x at year-end 2022.
  • Short-term debt was $1.129B, including $1.126B of current maturities, versus $505M at December 31, 2022. Long-term debt was $7.487B. Net interest expense rose 14% in Q3 and 30% year to date, reflecting higher average interest rates.
  • No commercial paper or revolving-credit borrowings were outstanding at quarter-end. The company has a $2.0B revolving facility expiring April 2026 and reported compliance with debt covenants. It expects operating cash flow and, if needed, additional borrowings to fund foreseeable requirements.
  • Financing cash use was $469M for the nine months, including $463M of dividends; share reacquisitions were $12M. The quarterly dividend declared was $0.53 per share.

Material changes, outlook and risks

  • Management expects a more challenging macroeconomic environment, particularly in Europe, with war-related effects and weak growth affecting costs and demand. It assumed slightly lower delivered-cost inflation and high interest rates through 2023.
  • The expanded Combined Program restructuring is expected to incur total pre-tax charges of $195M ($150M after tax), with completion by the end of 2024. It had delivered $104M of cumulative savings; estimated annualized savings in continuing operations are $175M by 2024. Q3 charges were $24M; the program liability was $58M at quarter-end.
  • The company said operating cash flow should remain strong and expects it to fund foreseeable needs, including debt maturities, investment, dividends, acquisitions and pension contributions. The filing does not provide a specific full-year sales or EPS guidance range.
  • More than 5,000 plaintiffs have asserted claims against Nalco related to the 2019 TPC Group plant explosion. Ecolab disputes the claims and intends to defend them; it believes potential losses should be covered by insurance, subject to deductibles. Given the litigation’s early stage and unspecified damages, it cannot estimate a loss or range.
  • Other exposures include environmental remediation at approximately 25 locations, ordinary-course litigation, foreign-exchange and interest-rate risks, and geopolitical uncertainty. Ecolab limits Russian business to activities it considers essential to life; Russia and Ukraine represented about 1% of nine-month sales.
  • Special charges totaled $43M in Q3 and $99M year to date, mainly restructuring, legal and acquisition-integration items. The 2022 comparison included $25M of pension settlement expense and larger acquisition-related and other charges.

Investor facts to verify

  • Whether price-led growth can be sustained if volume remains weak, particularly in Industrial Paper and Healthcare & Life Sciences.
  • Progress on restructuring costs, timing and the targeted $175M annualized savings by 2024.
  • Debt maturities of approximately $1.1B within one year, refinancing plans and the effect of elevated interest rates.
  • Working-capital sustainability and cash generation after the favorable year-to-date improvement.
  • Developments in TPC litigation, insurance coverage and any change in the company’s inability to estimate potential loss.
