  • Revenue increased 16%, driven primarily by digital advertising growth and the addition of BCNMonetize. Digital revenue rose 21% to $237.5 million; television revenue fell 6% to $28.5 million and audio revenue fell 7% to $11.4 million.
  • Consolidated EBITDA margin declined to 2% from 5%. Segment operating profit was $2.3 million in digital, $2.7 million in television and a $0.2 million loss in audio, versus $3.6 million, $7.6 million and $1.0 million, respectively, a year earlier.
  • The $51.7 million consolidated net loss included a $49.4 million impairment charge: $35.4 million for digital goodwill and $14.0 million for amortizable digital intangibles. The impairment followed Meta’s planned termination of its Authorized Sales Partners program.
  • Cash and cash equivalents were $128.4 million and marketable securities were $4.3 million at March 31, 2024. Current assets were $380.0 million and current liabilities were $274.4 million.
  • Reported debt carrying value was approximately $199.1 million, including current maturities; the company disclosed $197.8 million of variable-rate bank debt outstanding. The facility interest rate was 8.25%. In March, Entravision prepaid $10.0 million of debt. It reported compliance with credit covenants at quarter-end.

Material changes, outlook and risks

  • Meta relationship: Meta notified Entravision on March 4, 2024 that it plans to end its ASP program and relationships with ASPs, including Entravision, by July 1, 2024. Meta ASP revenue represented approximately 53% of consolidated revenue and 62% of digital segment revenue in Q1 2024. Management expects a material adverse effect on future digital and consolidated revenue and operating cash flow.
  • Management has begun reviewing its digital strategy, operations and cost structure. It also cited lower margins in digital, including lower payment rates on Meta sales since the second half of 2023, and expects digital margin pressure to continue.
  • Management expects positive operating cash flow for full-year 2024 and approximately $6.0 million of capital expenditures. It expects to fund working capital, capital expenditures and debt service from cash on hand and operating cash flow, and believes liquidity can cover at least the next 12 months. The filing provides no numerical revenue or earnings guidance.
  • Management cautions that Meta’s exit could create liquidity or covenant challenges and might require additional financing; availability and terms are uncertain. It also cannot yet quantify potential collection risk on receivables from advertisers that may no longer work with Entravision after the ASP program ends.
  • A 100-basis-point increase in SOFR would raise annual interest expense and reduce operating cash flow by an estimated $2.0 million, based on quarter-end debt. Management says a hypothetical 10% adverse foreign-exchange move on foreign-currency receivables would not be material; some cash is held in countries with currency controls.
  • Management said ordinary-course legal claims are not expected to materially affect financial position, results or cash flows. Disclosure controls were assessed as effective; no material change in internal control over financial reporting was reported.

Important facts for investors to verify

  • Whether Meta ends the ASP program by July 1, 2024, and the resulting revenue, margin and cash-flow impact.
  • Progress and expected costs or savings from the digital strategy and cost-structure review.
  • Operating cash flow, liquidity and compliance with the credit facility’s leverage and interest-coverage covenants after Meta-related changes.
  • Collection of digital-segment receivables, including amounts tied to advertisers without continuing business after the ASP termination.
  • Whether impairment assumptions remain appropriate as digital forecasts change, and whether further impairment charges are needed.
