GCT Semiconductor Holding, Inc. quarterly report, Q1 FY2024

GCT Semiconductor Holding, Inc. — Q1 2024 Form 10-Q

Reporting period: Three months ended March 31, 2024; unaudited. GCT is a fabless semiconductor company focused on wireless communication products, including 4G and 5G chipsets. The March 26, 2024 business combination with Concord Acquisition Corp III was accounted for as a reverse recapitalization, so historical results reflect Legacy GCT.

Financial performance

Amounts below are in millions of dollars unless otherwise noted.

MetricQ1 2024Q1 2023
Revenue$3.3$3.1
Gross profit / margin$2.0 / 60%$1.5 / 50%
Operating income (loss)$7.2$(1.7)
Net income (loss)$0.8$(1.4)
Cash used in operating activities$(14.4)$(1.5)
  • Product revenue rose 297% to $2.4 million; service revenue fell 64% to $0.9 million. Product sales included 4.75G and 5G reference development platforms and boards.
  • R&D expense increased to $5.5 million from $0.9 million, mainly due to 5G development and related IP costs. Sales and marketing expense was $1.0 million; general and administrative expense was $2.8 million.
  • Operating income included a $14.6 million gain after Samsung unconditionally released GCT from amounts payable for prior R&D work. Excluding that gain, operating results imply an operating loss of approximately $7.4 million.
  • Other expense was $4.3 million, primarily reflecting fair-value losses on warrants and convertible notes. Interest expense increased to $2.1 million from $0.9 million.
  • Cash and cash equivalents were $16.1 million at quarter-end, versus $0.3 million at December 31, 2023. Financing provided $30.3 million, including $17.2 million of net business-combination and PIPE proceeds and $16.3 million from convertible-note issuance; operating cash use was $14.4 million.
  • Total debt principal was $50.5 million, including $39.8 million of borrowings and $10.6 million of convertible notes. Approximately $45.5 million was contractually due within 12 months of March 31. Current liabilities of $72.6 million exceeded current assets of $32.8 million.

Changes versus the prior comparable period

  • Revenue increased 7%, but its mix shifted from services toward products. Management attributed lower service revenue to large projects nearing completion and described reduced 4G activity as the largest customer shifted development priorities toward 5G.
  • Gross margin improved from 50% to 60%, principally due to higher-margin platform sales. Product gross margin rose to 72% from negative 63%, while service gross margin declined to 26% from 77% as costs on new projects increased.
  • Reported net income improved from a loss to a profit, but the result was substantially affected by the one-time Samsung liability release and fair-value changes. Cash used in operations increased sharply year over year.

Outlook, liquidity, risks, and unusual items

  • Management believes available resources, product and service sales, and the April 2024 financing arrangement can fund operations for at least 12 months after the filing date. It also states that additional capital will be needed over the longer term to fund operations until profitable operations generate positive cash flow; future financing is not assured.
  • Management expects significant spending for 5G commercialization, including masks, wafers, and design services, with the first 5G chipset manufacturing, shipments, and commercialization expected during 2024. The filing does not provide numerical revenue or earnings guidance.
  • An April 2024 agreement gives GCT, at its discretion and subject to conditions and limitations, the right to sell up to $50 million of common stock to B. Riley Principal Capital II over 24 months; GCT is not obligated to sell shares.
  • After quarter-end, GCT repaid $1.5 million on one M-Venture loan and amended maturities on other M-Venture loans. It also repaid a historical convertible note with $0.6 million principal.
  • Key risks include reliance on a small number of customers, 5G development and market adoption, semiconductor industry cyclicality, foundry and supply-chain capacity, intellectual-property claims, and the need to refinance or repay near-term debt. Two customers represented 61% and 24% of Q1 revenue. The company reported no material legal proceedings; management said risk factors were not materially changed from its April 19, 2024 S-1.
  • The Samsung release of liability was an unusual noncash gain. The company also recorded $10.6 million of warrant liabilities at quarter-end, remeasured at fair value, and reports that its financial statements use Level 3 valuation inputs for warrants and convertible notes.

Important facts for investors to verify

  • Whether the planned 5G product launch and commercialization occur on schedule, and whether they generate meaningful revenue.
  • How GCT will address the approximately $45.5 million of debt due within 12 months, including the status and terms of extensions, repayments, or refinancing.
  • Whether operating cash burn declines and liquidity remains adequate; the quarter’s net profit included the $14.6 million Samsung release, while operating cash use was $14.4 million.
  • Whether customer concentration, service-project completions, and the transition from 4G to 5G affect sales, collections, or margins.
  • Potential dilution from the B. Riley equity line, outstanding warrants and convertible securities, and business-combination earnout shares.
