Material changes versus FY2020
- Revenue growth was led by domains, up 19.5%, and business applications, up 20.2%; hosting and presence rose 6.9%. Domains’ share of revenue increased, while hosting and presence’s share declined.
- Customer count increased 2.8% to 21.2 million and average revenue per user rose 9.7% to $182. Bookings growth reflected customer and domain growth, aftermarket sales, adoption of non-domain products, acquisitions, and a roughly 90-basis-point currency benefit.
- Operating income increased 40.4%, and operating margin expanded to 10.0% from 8.2%. Net income turned positive, but the prior-year net loss included a $674.7 million charge to settle tax receivable agreement obligations.
- Technology and development expense rose 26% to $706.3 million; marketing and advertising rose 15% to $503.9 million. Customer care expense declined 3.4% to $306.1 million, reflecting restructuring-related headcount reductions and operating efficiencies.
- Operating cash flow rose 8.5%. Investing cash outflow increased, chiefly due to intangible-asset purchases and equity investments. Debt increased following the issuance of $800 million of 3.5% senior notes due 2029.
Outlook, risks and unusual items
- The filing gives no specific forward revenue, earnings, or margin guidance. Management cited uncertainty in customer demand: demand weakened in Q2 2021 and improved in the second half. It expects continued investment in products, marketing, customer care, and migration of infrastructure to public-cloud providers.
- Growth priorities include international expansion, integrated website and commerce tools, GoDaddy Payments, and continued customer retention and cross-selling. Customer retention exceeded 85% in each of the past five years; retention for customers with more than three years’ tenure exceeded 93% in 2021.
- Cybersecurity and privacy are material risks. The filing describes unauthorized access to a third-party content system in September 2021 and a November 2021 incident involving the Managed WordPress provisioning system, potentially affecting up to 1.2 million active and inactive customers. Investigations and inquiries related to earlier security incidents remained unresolved; the company said outcomes and timing were uncertain.
- Other key risks include substantial debt and variable-rate exposure, intense competition, customer-demand and small-business sensitivity to economic conditions, reliance on third-party infrastructure and payment processors, regulatory and privacy obligations, and potential service outages. The company noted ongoing COVID-19 uncertainty and increased security exposure associated with remote work and cloud migration.
- Unusual items included $29.4 million of Poynt-related compensation expense at acquisition closing and a 2021 restructuring-and-other net benefit of $0.3 million, including a $15.4 million gain on sale of former headquarters property and a $15.1 million office-closure impairment charge. The audit identified acquisition-date valuation of Poynt’s developed-technology intangible asset as a critical audit matter.
- GoDaddy repurchased $526.0 million of stock in 2021. In January 2022, the board authorized total repurchases of up to $3.0 billion under the programs; the company entered a $750 million accelerated repurchase in February 2022. These are subsequent events, not FY2021 operating results.
Most important facts for investors to verify
- Reconcile bookings growth with recognized revenue and deferred revenue, given that most subscription revenue is recognized over contract terms.
- Assess the sustainability of customer growth, retention, ARPU gains, and the mix shift toward domains and higher-growth business applications.
- Review debt maturities, interest-rate and refinancing exposure, covenant constraints, and cash available after acquisitions and repurchases.
- Track the resolution and potential financial, regulatory, and customer consequences of the disclosed security incidents and related investigations.
- Evaluate returns from GoDaddy Payments, acquisitions, and substantial intangible-asset purchases, alongside increased technology and marketing spending.
- Consider the scale of stock repurchases relative to investment needs and debt obligations, and note that the company does not expect to pay dividends in the foreseeable future.
