Q2 reported sales rose 16%, including 12% organic growth, a 7% acquisition contribution and a 3% unfavorable currency impact. For the first half, sales rose 16%, including 12% organic growth, a 6% acquisition contribution and a 2% unfavorable currency impact. Adjusted Q2 operating income was $189.8 million and adjusted operating margin was 23.8%; adjusted net income was $153.6 million and adjusted diluted EPS was $2.02. First-half adjusted operating income was $377.4 million, adjusted operating margin 24.4%, adjusted net income $303.4 million and adjusted diluted EPS $3.98. These are non-GAAP measures.
Adjusted EBITDA was $219.2 million, or 28% of sales, in Q2, and $433.9 million, or 28% of sales, in the first half. First-half capital expenditures were $31.7 million; free cash flow, defined as operating cash flow less capital expenditures, was $160.3 million, versus $215.0 million in the prior-year period. Management attributed the cash-flow decline to working-capital needs.
Material changes and operating performance
- Q2 operating income increased 18%; first-half operating income increased 19%. Reported operating margin rose 30 basis points in Q2 and 70 basis points in the first half. Management cited volume leverage, productivity and favorable price/cost, partly offset by employee costs, spending and acquisition-related amortization.
- FMT sales increased 19% in Q2 and 16% in the first half; operating margins were 27.7% and 28.6%, respectively, both higher year over year. HST sales increased 19% and 22%, while margins fell to 26.5% in both periods, primarily reflecting costs and acquisition-related amortization. FSDP sales increased 7% and 5%, but margins declined to 23.3% and 23.9%, respectively, reflecting employee and discretionary costs and price/cost pressure under long-term OEM contracts.
- Q2 net income growth also reflects the absence of prior-year charges for U.S. pension-plan termination and early debt redemption. First-half 2022 included $2.6 million of gains on asset sales. First-half other comprehensive loss was $100.2 million, largely due to a $101.4 million foreign-currency translation loss.
- Acquisitions included Nexsight, acquired in February for $114.7 million, and KZValve, acquired in May for $120.2 million; both were funded with cash on hand and added to FMT. Purchase-price allocations were preliminary.
Liquidity, debt and capital allocation
At June 30, 2022, cash and equivalents were $557.8 million, down from $855.4 million at year-end; $473.5 million was held outside the U.S. Working capital was $1,037.5 million and the current ratio was 3.0 to 1. Long-term borrowings were $1,190.9 million net of debt costs and discount; gross borrowings were $1,200.1 million, all fixed-rate. The $800 million revolving facility had no borrowings, $7.2 million in letters of credit and approximately $792.8 million in available capacity. The $100 million notes due June 2023 remained classified as long-term because IDEX stated it had the ability and intent to refinance or repay them using the facility.
IDEX reported compliance with debt covenants at quarter-end: leverage ratio 1.40 to 1 versus a maximum of 3.50 to 1, and interest coverage 23.38 to 1 versus a minimum of 3.0 to 1. During the first half, the company paid $86.9 million in dividends and repurchased 622,190 shares for $115.8 million. It declared dividends of $1.20 per common share. The company said cash, operating cash flow and available credit should meet foreseeable requirements, including planned investment, debt service, dividends and repurchases.
Outlook, risks and contingencies
The filing provides no numerical full-year sales or earnings guidance. Management reported robust demand and record first-half sales, while noting material-availability and logistics challenges. It cited inflation, supply-chain disruption, labor costs, foreign-exchange movements, interest rates, economic and geopolitical uncertainty, and integration and execution of acquisitions among factors that could affect results. The company said it seeks to offset inflation with pricing.
Ordinary-course legal matters include product liability, contract, regulatory and other proceedings; management did not expect their disposition to have a material adverse effect. Asbestos-related lawsuits remain pending. Most resolved claims have been dismissed or settled for immaterial amounts, and insurance has covered most historical settlements and legal costs, but future insurance coverage is uncertain. No material provision was recorded beyond ordinary-course insurance deductibles. The filing reported no material changes to previously disclosed risk factors. Disclosure controls were concluded to be effective as of June 30, 2022.
Investor verification points
- Track whether working-capital investment—especially receivables and inventory—converts into cash and supports a recovery in free cash flow.
- Assess the sustainability of organic growth and pricing, and whether inflation, supply constraints and labor costs continue to pressure margins, particularly at HST and FSDP.
- Review acquisition integration, preliminary purchase accounting, added amortization and the returns from Nexsight and KZValve.
- Monitor cash balances, share repurchases and dividends alongside the 2023 note maturity, available revolver capacity and covenant headroom.
- Follow foreign-currency impacts and potential developments in asbestos litigation and insurance coverage.
- When comparing periods, account for non-GAAP adjustments and the prior-year pension-plan termination and debt-redemption charges.
